THIS AGREEMBNT is between R.AMSEY COUNTY, a political subdivision of the State af Miruaesata, througi� iis Counfiy Manager's Office ("COIJNTY"), 250 City HaWCourthouse, 15 West Kellogg Bo�levard, St. Paui, Minnesota 55102, and CTTY OF ARDEN H�LLS, 12A�5 W. Highway 96, Arden Hilis, MN 55112-5794, acting by ancf tIu-ough its duly authoeizecf officers {"SUBSCR[BER"). WI IEREAS, COUNTY is in the process of planning and construeting a subsystett� ("Subsystern"} of the Regionwide Public Safety Radto Communications System {"Sysie�n"); and WHEREAS, �OUNTY has planned the Subsystem in cooperation and collaboration with representatiaes oi Cities, Poiice Depart�ments, Fire Departments, and other public safety users witI�in Ramsey County; and WHEREAS, SUBSCR]BER has elecied to participate as a Subsystern Subscr�ber; and WHEREAS, COLTNTY and SUBSCRIIBER wish to set forth their respective roles and responsibilities and the terms and cnnditions of their understanding; NOW, THEREFORE, in consideration of the mut�aI undertakings and ag�ree�nents hereinafter sei forti�, COI_JNTY and SUBSGRIBER agree as follows: l. DEFIIVIT�ONS Activation means the point at which a radio is enab�ed to operate on t1�e Subsystem. Certify means, in relation to a radio, approved by use for the Subsysiem. C[oning means #he process whereby a Code Plug is written into the rriemory of a radio_ Code Piug means the progeam file containing talkgroup infarrtiation and configuration settings thaf is written into the mernory of a radio. Couniy-Approved Vendors �neans vendars identified by ihe Couniy as having been State-certified to ser�vice the radios to be purchased by SUBSCRIBER and with which the Co�-ity has a contract_ Fieet means the set oFradios with assigned radio sqstern identifca#ion numbers that fall within the nu�neric range assigned to Ramsey County by the State of Minnesota or that cotttain Code Plugs that are maintained by the COUNTY. Metropolitan Eme�'gency Services Board or MESS means the hoard created by a Joint Powers Agreement among Anoka, Carver, Dakota, Hennepin, Ramsey, Scott, and Washington Counties and the City of Minneapolis, to act as the Metrvpolitan 911 Board; as a regiot�a� radio board and as the successor to the MRS; and as a regional emergency medical services board. Metropalifan Radio Board or MRB means the poiitical subdivisian created pursuant to ihe provisions of Mi�nesota S#atutes §443.22, Sui�d. 1 to provide govemance over the planning and implementation of the Statewide 840 MHz interoperable radio communication system, whose responsibilities were to be transferred to the Sta#ewide Radia Baard purs�ant to Laws of 2004, Chapter 201, Section 22. Programmi�g zneans the process of preparing a custom Code Plug and Claning into one or more ra.dios. Raclio System Ma�ager means ihe COUNTY etnployee who manages, and provides coordina#ion and administrative directior� for the Subsystem. Reguiar In-Shop Ffat F��s means the hourly rates or per unit pricing established i�t an agreernent between COUNTY and a COUN"I'Y-Approved Vendar for service on SUBSCRIBER radios at the vendor's site. 800 MHz Subsystem Subscriber Agreement — City of Arden Hi�ls 2 of 10
