decreases,the decreased cost shall be applied solely to the requesting party's <br /> share of the construction cost. <br /> 5. Upon substantial completion of the project,the parties will jointly select and <br /> pay for the services of a registered architect. The architect shall prepare <br /> construction as-built drawings which identify the square footages encompassed <br /> in each party's respective parcel. These as-built drawings shall be added as <br /> Exhibit A2, when prepared. <br /> VI. EXCLUSIVE OCCUPANCY <br /> A. Ramsey County hereby grants to the City of Arden Hills exclusive occupancy <br /> rights to the Arden Hills Parcel and the non-exclusive right to use the Common <br /> Elements as delineated in the construction as-built drawings, subject to the terns <br /> of this Agreement and upon occurrence of the following: <br /> I. Execution of this Agreement; and <br /> 2. Receipt by Ramsey County of full payment from City of Arden Hills in <br /> accordance with the terms of this Agreement. <br /> B. Ramsey County hereby grants to the Mounds View School District exclusive <br /> occupancy rights to the Mounds View School District Parcel and the non- <br /> exclusive right to use the Common Elements as delineated in the construction as- <br /> built drawings, subject to the terms of this agreement and upon occurrence of the <br /> following. <br /> 1. Execution of this Agreement; and <br /> 2. Receipt by Ramsey County of full payment from the Mounds View <br /> School District in accordance with the terms of this Agreement- <br /> C. Ramsey County shall have the exclusive right to occupy the Ramsey County <br /> Parcel during the terra of this agreement and the non-exclusive right to use the <br /> Common Elements as delineated in the construction as-built drawings subject to <br /> the terms of this Agreement. <br /> D_ Neither the Mounds View School District nor the City of Arden Hills may convey <br /> or transfer any interest in their respective parcels to a non-governmental third <br /> party.
