Exhibit C <br /> DRAFT — 12/22/2011 <br /> LEASE AGREEMENT <br /> This Lease Agreement (this "Lease") dated 201 1 is made by and <br /> between the County of Ramsey, a political subdivision of the State of Minnesota (the "County"), <br /> having an address at 250 City Hall/Court House, 15 West Kellogg Boulevard, St. Paul,Minnesota <br /> 55102 and the General Services Administration, as agent for the United States of America <br /> ("Government"), having a business address at the Thomas P. O'Neill, Jr. Federal Building, 10 <br /> Causeway Street, Boston, Massachusetts 02222. <br /> WHEREAS, reference is made to certain real property known as the Twin Cities Army <br /> Ammunition Plant located at the intersection of Highways 10 & 96 in Arden Hills, Minnesota <br /> ("TCAAP"); <br /> WHEREAS, TCAAP contains certain environmental contamination and requires certain <br /> remediation, for which the United States Department of Army (the "Army") is ultimately <br /> responsible; <br /> WHEREAS, the Army, the United States Environmental Protection Agency ("EPA") and the <br /> Minnesota Pollution Control Agency ("MPCA") entered into the Federal Facility Agreement, dated <br /> August 12, 1987 (as amended, the "FFA"), which document serves to guide such remediation at <br /> TCAAP; <br /> WHEREAS, as of the date of this Lease, portions of TCAAP have been conveyed to the <br /> County; and <br /> WHEREAS, the County delivered an Offer to Purchase dated December 2011 to the <br /> Government ("OTP") regarding acquisition by the County from the Government of approximately <br /> 430 acres of TCAAP; <br /> WHEREAS, the Government desires the County to perform environmental remediation on <br /> certain portions of TCAAP that are still owned by the United States of America (the "Leased <br /> Property"), and the County has agreed to perform such remediation, all as more particularly set <br /> forth below, subject to the conditions, restrictions, and limitations hereinafter described. <br /> NOW THEREFORE, in consideration of the mutual promises, covenants and other good and <br /> valuable consideration set forth herein, the sufficiency of which is hereby acknowledged, and the <br /> above recitals, which are incorporated herein by this reference, the parties hereto agree as <br /> follows: <br /> 23 <br /> 17663271 <br />
