<br />494639v2 JSB AR200-17 <br />THIS FIRST AMENDMENT TO ABATEMENT CONTRACT FOR PRIVATE <br />DEVELOPMENT (the “First Amendment”) is made and entered into this ____ day of March, <br />2017, between the CITY OF ARDEN HILLS, MINNESOTA, a municipal corporation under <br />the laws of Minnesota (the “City”), RAMSEY COUNTY, MINNESOTA, a political <br />subdivision of the State of Minnesota (the “County”) and LAND O’LAKES, INC., a Minnesota <br />cooperative corporation (the “Developer”), and their permitted assigns. <br />RECITALS <br />WHEREAS, on April 12, 2016, the City, the County and the Developer heretofore <br />entered into that certain Abatement Contract for Private Development (the “Original Agreement” <br />and, together with this First Amendment to Abatement Agreement, the “Abatement <br />Agreement”); <br />WHEREAS, capitalized terms used in this First Amendment and not otherwise defined <br />herein have the meanings given to them in the Original Agreement; and <br />WHEREAS, the City, the County and the Developer desire to amend the Original <br />Agreement to reflect the original base number of jobs located at the Developer’s Arden Hills and <br />Shoreview, Minnesota locations which had incorrectly included 8 jobs from other locations in <br />Minnesota; <br />NOW, THEREFORE, in consideration of the premises and the mutual obligations of the <br />parties hereto, each of them does hereby covenant and agree with the other as follows: <br />1. 3.8 (b) Job and Wage Goals. <br /> b) The Developer represents that as of April 11, 2016 it has 1,730 Full-Time <br />Equivalent permanent, non-contract, non-seasonal employees in the Developer’s Arden <br />Hills and Shoreview, Minnesota locations. The Company will transfer the employees <br />currently located at the Shoreview, Minnesota location to the Arden Hills, Minnesota <br />location by the Compliance Date. On or before the Compliance Date, the Developer shall <br />cause to be created at least 200 new Full-Time Equivalent jobs (the “New Jobs”) for a <br />total of 1,930 Full-Time Equivalent jobs on the Development Property and shall cause the <br />wages for all New Jobs on the Development Property to be no less than $18.00 per hour, <br />exclusive of Benefits (the “Subsidy Jobs”). Any jobs created after April 11, 2016 will be <br />considered New Jobs and count toward the Developer’s job creation goals. The City and <br />the County each may, after a public hearing, extend the deadlines for the goals described <br />in this clause (b) by up to one year, provided that nothing in this section will be construed <br />to limit the City’s and the County’s respective legislative discretion regarding this matter. <br />4. Any capitalized terms used herein but not otherwise defined shall have the <br />meanings assigned to such terms in the Original Agreement. Any references to the “Agreement” <br />or “this Agreement” in the Original Agreement shall refer to the Original Agreement, as <br />amended by this First Amendment, and as may be further amended and supplemented. <br />5. The amendments made to the Original Agreement, as amended by this First <br />Amendment, shall be effective as of the date hereof.
