SECTION X Rel!ulations <br />A) It is agreed by and between the parties that Exhibit "A" contains a series of regulations <br />which are required to be imposed upon Arden Hills pursuant to this contract. Arden Hills <br />also agrees to be bound by all those regulations as set forth in Exhibit "A". <br />B) Arden Hills agrees to do no act which will jeopardize Roseville's contractual relationship <br />with St. Paul and to take all reasonable affirmative acts to protect Roseville's contractual <br />rights with St. Paul. <br />C) Arden Hills agrees to adopt any reasonable ordinance requested by Roseville to protect the <br />water facilities and water in Arden Hills. <br />D) Arden Hills will not sell any water to any other municipality without first recelvmg <br />permission from Roseville. <br />SECTION XI Arbitration <br />A) In the event there is any dispute by the parties over the terms of this contract, both agree to <br />be bound by arbitration, pursuant to Minnesota Statute, Chapter 572, and any subsequent <br />amendments. <br />SECTION XII Force Maieure <br />A) Neither party shall be held responsible for performance of this Agreement if the party's <br />performance is prevented by acts or events beyond the party's reasonable control <br />including, but not limited to: several weather and storms, earthquakes, tornados or other <br />natural occurrences, strikes and other labor unrest, power failures, electrical power surges <br />or current fluctuations, nuclear or other civil or military emergencies, or acts of legislative, <br />judicial, executive or administrative authorities. <br />SECTION XIII Interrnption in Service <br />A) Arden Hills acknowledges that water service can be interrupted due to, among other <br />things, main breaks, equipment failures, weather conditions, maintenance, repairs or <br />improvements. Therefore, Roseville cannot guarantee that there will be no interruptions in <br />service, or that any specific pressures or fluctuations in pressure will or will not occur. <br />Arden Hills agrees that Roseville shall not be liable or responsible for any losses or <br />damages, consequential or otherwise, resulting from any such interruptions in service or <br />fluctuations in pressure. <br />5
