Woodruff, Esq. <br /> <br /> If to City: <br /> <br />City Administrator <br />City of Arden Hills <br />1245 West Highway 96 <br />Arden Hills, Minnesota 55112. <br /> <br />Any party may change the address to which any such Notice is to be delivered by furnishing ten <br />(10) days’ written notice of such change to the other parties in accordance with the provisions of <br />this Section 6. Notices shall be deemed to have been given on the date as set forth above, even if <br />there is an inability to actually deliver any such Notice because of a changed address of which no <br />Notice was given, or there is a rejection or refusal to accept any Notice offered for delivery. <br />Notice for any party may be given by its respective counsel. Additionally, Notice from Lender <br />may also be given by Servicer and Lender hereby acknowledges and agrees that Borrower and <br />City shall be entitled to rely on any Notice given by Servicer as if it had been sent by Lender. <br /> <br />7. No Oral Change. This Agreement may not be modified, amended, <br />waived, extended, changed, discharged or terminated orally or by any act or failure to act on the <br />part of Borrower, Lender or City, but only by an agreement in writing signed by the party against <br />whom enforcement of any modification, amendment, waiver, extension, change, discharge or <br />termination is sought. <br />8. Liability. This Agreement shall be binding upon and inure to the benefit <br />of Borrower, City and Lender and their respective successors and assigns forever. Lender shall <br />have the right to assign or transfer its rights under this Agreement in connection with any <br />assignment of the Loan and the Loan Documents. Any assignee or transferee of Lender shall be <br />entitled to all the benefits afforded to Lender under this Agreement. <br />9. Termination. Upon the indefeasible payment in full of the Loan, this <br />Agreement and all of Lender’s right, title and interest hereunder with respect to the <br />Development Agreement shall terminate. <br />10. Miscellaneous. <br />(a) Inapplicable Provisions. If any term, covenant or condition of this <br />Agreement is held to be invalid, illegal or unenforceable in any respect, this Agreement shall be <br />construed without such provision.
