Each Party shall bear its own attorney fees and costs.C. <br />NO ADMISSION OF LIABILITY.3. <br />The Parties recognize and agree that this settlement is the compromise of disputed claims <br />and that the consideration accepted and paid hereunder is not intended nor shall it be construed <br />by anyone to be an admission of liability by or on behalf of any of the Parties,by whom all such <br />liability is expressly denied,said Parties intending by this settlement merely to avoid litigation <br />and buy their peace. <br />LIABILITY OF SETTLING PARTIES EXTINGUISHED.4. <br />It is understood and agreed that the purpose,intent and legal effect of this Mediated <br />Settlement Agreement and Release is to extinguish the entire liability of the Defending Parties to <br />each other and to Sunram,and the liability of Sunram to the Defending Parties arising out of or <br />connected with the Action and the Released Claims,and to bar forever any recovery by way of <br />subrogation,indemnity,contribution or any other claim against any Party to this Agreement <br />regarding the Released Claims as set out in Paragraph 1 above.If any Party to this Agreement <br />makes any claim against a third person who is not a Party to this Agreement,which claim is <br />related to or arises out of the Released Claims,then the Party making such claims shall to the <br />fullest extent permitted by law indemnify,defend and hold harmless the other Parties to this <br />Agreement from any claims for contribution,indemnity,subrogation or other reimbursement of <br />such third party. <br />BINDING EFFECT.5. <br />The terms of this Mediated Settlement and Release shall be binding upon and be <br />enforceable against and shall inure to the benefit of the Parties hereto jointly and severally and <br />the heirs,successors,personal representatives,and assigns of each.The Parties hereto <br />4
