D <br /> 3.3) Vacancies - In case any office of the Corporation becomes vacant by <br /> death, resignation, retirement, incapacity or any other cause, such vacancy shall • <br /> be filled by the affirmative vote or action of a majority of the directors then <br /> in office, and the officer so elected shall hold office and serve until the meeting <br /> of the Board of Directors at which the vacated office would have been elected <br /> and until the election and qualification of his or her successor. <br /> 3.4) The President - The president shall preside at all meetings of the <br /> Board of Directors. He or she shall have and exercise general management and <br /> supervision of the affairs of the Corporation and shall do and perform such other <br /> duties as may be assigned to him or her by the Board of. Directors. <br /> 3.5) Vice President - At the request of the president or in the event of <br /> his or her absence or disability, the vice president shall perform the duties <br /> and possess and exercise the powers of the president, and shall perform such other <br /> duties as the Board of Directors shall prescribe. <br /> 3.6) Executve Secretary - The executive secretary shall, concurrent with <br /> the president of the Corporation, manage and supervise the affairs of the <br /> Corporation and oversee the day-to-day business of the Corporation. The executive <br /> secretary shall also be the secretary of and shall attend all meetings of the <br /> members and of the Board of Directors. The executive secretary shall be the person <br /> who is the Director of Community Services and Recreation of the White Bear Lake <br /> School District. The executive secretary shall act as clerk of membership meetings and <br /> meetings of the Board of Directors and shall record all the proceedings of such <br /> meetings in the minute book of the Corporation. The executive secretary shall give <br /> proper notice of meetings of members and directors. The executive secretary Shall <br /> keep the seal of the Corporation and shall affix the same to any instrument requiriq <br /> it and shall attest the seal by his or her signature. The executive secretary shall <br /> perform such other duties as may be prescribed by the Board of Directors from time <br /> to time. <br /> 3.7) Treasurer - The treasurer shall keep accurate accounts of all moneys <br /> of the Corporation received or disbursed. The treasurer shall deposit all moneys, <br /> drafts, and checks, in the name of and to the credit of the Corporation in such <br /> banks and depositories as the Board of Directors shall designate from time to <br /> time. The treasurer shall have power to endorse for deposit all notes, checks <br /> and drafts received by the Corporation. The treasurer shall disburse the funds <br /> of the Corporation as authorized by the Board of Directors and shall render to <br /> the president and the Board of Directors, whenever required, an account of all <br /> of his or her transactions as treasurer and of the financial condition of the <br /> Corporation and shall perform such other duties as may be prescribed by the Board <br /> of Directors from time to time. <br /> 3.8) Additional Officers, Agents and Representatives - The Board of Director= <br /> may appoint an assistant vice president, assistant secretary and an assistant <br /> treasurer or an assistant secretary-treasurer as it may deem necessary, who sha1 <br /> perform the duties and assume the responsibility of the prescribed office under <br /> the general direction of the vice president, executive secretary, treasurer or <br /> president, and as the Board of Directors may direct. The, Board of Directors may <br /> appoint such agents and representatives of the Corporat_on with powers and to <br /> perform such acts••or duties on behalf of the Corporation and the Board of Direct <br /> as the Board of Directors may see fit. <br /> 5. <br />
