BYLAWS <br /> OF <br /> WHITE BEAR COMMUNITY FOUNDATION • <br /> ARTICLE 1. <br /> MEMBERS <br /> 1.1) Membership - The membership of the Corporation shall be separated into <br /> two classes: (i) general members; and (ii) honorary members. The honorary member: <br /> of the Corporation shall be any persons granted honorary membership by the Board of <br /> Directors of the Corporation. <br /> The sub-classes and dues required of general members shall be as set by the <br /> Board of Directors of the Corporation from time to time. The general members <br /> may be groups or individuals, and the Board of Directors may set different dues <br /> and different requirements for group members. <br /> 1.2) Voting Rights - All general and honorary members shall have equal voting <br /> rights. Cumulative voting for directors shall not be allowed. Each individual <br /> dues paying member and each honorary member shall have one vote, and each group <br /> membership shall entitle the group member to one vote. The Board of Directors • <br /> may from time to time adopt procedures for group members to vote. <br /> 1.3) Meetings of *Members - Meetings of the members of the Corporation shall <br /> be held and conducted in accordance with the following provisions: <br /> (01) Location - :Meetings of the members may be held at any place within or <br /> without this state as designated by the Board of Directors. <br /> (02) Annual Meeting - Members shall hold an annual meeting for the election <br /> of those directors whose terms conclude in that calendar year, and the <br /> transaction of any other business which may properly come before the meeting. <br /> _ The date and time of the meeting shall be determined by the Board of <br /> Directors. When the annual meeting has not been held, or directors whose <br /> terms conclude during that calendar year have not been elected thereat, <br /> directors may be elected at a special meeting held for that purpose. <br /> (03) Special Meeting- Special meetings may be called for any purpose at <br /> any time upon written request, by authorized individuals, to the president, <br /> vice president, or executive secretary. Authorized individuals who may <br /> request a special meeting are the president, two or more directors, or 5% <br /> of the total voting memberhip, or 30 members, whichever is less.. The officer <br /> who receives the written request shall give notice of the meeting to be held <br /> not later than 30 days after receiving the request. <br /> (04) Notice Notice of meetings and elections shall be given to all members• <br /> entitled to vote at the meeting or election.
