CERTIFICATE OF <br /> ARTICLES OF INCORPORATION • <br /> OF <br /> WHITE BEAR COMMUNITY FOUNDATION <br /> We, the undersigned, respectively the President and Executive Secretary of <br /> WHITE BEAR COMMUNITY FOUNDATION, a corporation under and pursuant to the provisions <br /> of Chapter 317, Minnesota Statutes, known as the Minnesota Nonprofit Corporation <br /> Act, and laws amendatory thereof and supplementary thereto, do hereby certify <br /> that on the day of August, 1981, the following resolution was adopted by <br /> the members of the Corporation in accordance with the applicable provisions of <br /> Minnesota Statutes: <br /> RESOLVED, that pursuant to Minnesota Statutes 317.27, the Articles of <br /> Incorporation of White Bear Community Foundation and all amendments thereto, <br /> be, and the same are hereby, stated and superseded by the following stated <br /> Articles.of Incorporation: • <br /> ARTICLE 1. <br /> NAME <br /> 1.1) Name - The name of the nonprofit corporation shall be WHITE BEAR <br /> FOUNDATION. <br /> ARTICLE 2. <br /> PURPOSES AND POWERS <br /> 2.1) General - This nonprofit corporation is formed for the purposes of <br /> receiving and maintaining a fund or funds and holding real or personal property <br /> or both, and, subject to the restrictions and limitations hereinafter set forth, <br /> to use and apply the whole or any part of the principal thereof and income <br /> therefrom exclusively for charitable, scientific, literary or educational purposes, <br /> either directly or by distributions to organizations qualified as exempt under <br /> Section 501(c)3 of the Internal Revenue Code of 1954 as now in force, or as it may <br /> hereafter be amended or supplemented. <br /> 2.2) Specific - Without in any way limiting or restricting the generality <br /> of the purposes aforementioned, nor on the other hand intending to enlarge or <br /> extend the same to include therein any activities other than such as are now or <br /> may hereafter be within the purposes of an organization exempt under Section • <br /> 501(c)3 of the Internal Revenue Code of 1954 as now in force, or as it may <br /> hereafter be amended or supplemented, the following are illustrative--o-f,,k-attivities <br />
