HRGreen. <br />Professional Services Agreement <br />2023 On -Call Services Contract <br />HR Green Job No.: 210264 <br />January 24, 2023 <br />Page 1 of 9 <br />THIS AGREEMENT is between the City of Arden Hills (hereafter "CLIENT') and HR Green, Inc., <br />(hereafter "COMPANY"). <br />1.0 Project Understanding <br />1.1 WHEREAS, the CLIENT intends to retain COMPANY from time -to -time to render <br />certain professional engineering services (hereinafter "services"); and <br />WHEREAS, COMPANY is willing to provide the services for consideration and upon the <br />terms herein stated; <br />Now, THEREFORE, in consideration of the services to be performed by COMPANY <br />and payment by the CLIENT, the parties agree to the terms, provisions, and conditions <br />as hereinafter set forth. <br />2.0 Scope of Services <br />No specific scope of services is included in this contract. The scope of services for each <br />phase will be determined by the CLIENT and COMPANY in correspondence prior to <br />performing the requested services. The phases include herein were agreed to by CLIENT <br />and COMPANY as the general themes for which services will be requested and the <br />COMPANY agrees to sort the time and material charges into the appropriate phase so that <br />the CLIENT and COMPANY can track the effort associated with each phase. The general <br />consultation phase will be used for services that are more general in nature and not readily <br />categorized by the phases described herein. <br />3.0 Deliverables and Schedules Included in this Contract <br />The terms and conditions of this Agreement between COMPANY and the CLIENT shall <br />apply to until December 31, 2023. <br />No deliverables or schedules are expressly included in this contract. Deliverables and <br />schedules for each phase will be determined by the CLIENT and COMPANY in <br />correspondence prior to performing the requested services. <br />4.0 Items not included in Agreement/Supplemental Services <br />Supplemental services not included in the agreement can be provided by COMPANY under <br />separate agreement, if desired. <br />5.0 Services by Others <br />If requested by CLIENT, the COMPANY can secure the services of others to complete the <br />work requested by the CLIENT. <br />6.0 Client Responsibilities <br />To be determined for each phase in communication between the CLIENT and COMPANY. <br />
