Item 4. <br />TO: Mayors and Councilmembers of Arden Hills, North Oaks, and <br />Shoreview <br />MEETING DATE: September 19, 2023 <br />SUBJECT: Overview of existing governance model <br />Overview <br />The fire department and cities work together collaboratively to ensure high quality <br />emergency medical response service is provided to the residents of Arden Hills, <br />North Oaks, and Shoreview. The primary documents guiding these efforts are the <br />by-laws and service contracts. These documents are summarized in this report and <br />attached.. <br />By-laws <br />Adopted by-laws of the Lake Johanna Fire Department, Inc. regulate and manage <br />the internal affairs of the organization. These by-laws articulate many items <br />including the following: <br />• Membership and meetings of the fire department <br />• Membership and meetings of the board of directors <br />o Members to included: <br />■ Two directors from the City of Shoreview <br />■ One director from the City of Arden Hills <br />■ One director from the City of North Oaks <br />■ Three directors from the active membership of the Lake Johanna <br />Fire Department <br />• Duties of the board of directors <br />• Appointment of Chief Executive Officer (Fire Chief) <br />The board of directors as outlined in the by-laws typically meets six times per year <br />on the third Wednesday of odd numbered months unless the schedule is altered <br />by the board. In 2023, the board has met monthly due to the importance of the <br />governance discussion. <br />While decisions are made by the majority of the board, it is common for the board <br />to work towards full consensus of the cities when approving the operating and <br />capital budgets. <br />Board of director votes by agency are outlined below (rounded to the nearest full <br />percentage point): <br />• Arden Hills:1 of 7 votes (14%) <br />• North Oaks: 1 of 7 votes (14%) <br />• Shoreview: 2 of 7 votes (29%) <br />• Fire department members: 3 of 7 votes (43%) <br />Page 1 of 2 <br />
