TO: Mayors and Councilmembers of Arden Hills, North Oaks, and Shoreview MEETING DATE: September 19, 2023 SUBJECT: Overview of existing governance model Overview The fire department and cities work together collaboratively to ensure high quality emergency medical response service is provided to the residents of Arden Hills, North Oaks, and Shoreview. The primary documents guiding these efforts are the by-laws and service contracts. These documents are summarized in this report and attached.. By-laws Adopted by-laws of the Lake Johanna Fire Department, Inc. regulate and manage the internal affairs of the organization. These by-laws articulate many items including the following: • Membership and meetings of the fire department • Membership and meetings of the board of directors o Members to included: ■ Two directors from the City of Shoreview ■ One director from the City of Arden Hills ■ One director from the City of North Oaks ■ Three directors from the active membership of the Lake Johanna Fire Department • Duties of the board of directors • Appointment of Chief Executive Officer (Fire Chief) The board of directors as outlined in the by-laws typically meets six times per year on the third Wednesday of odd numbered months unless the schedule is altered by the board. In 2023, the board has met monthly due to the importance of the governance discussion. While decisions are made by the majority of the board, it is common for the board to work towards full consensus of the cities when approving the operating and capital budgets. Board of director votes by agency are outlined below (rounded to the nearest full percentage point): • Arden Hills:1 of 7 votes (14%) • North Oaks: 1 of 7 votes (14%) • Shoreview: 2 of 7 votes (29%) • Fire department members: 3 of 7 votes (43%) Page 1 of 2
