12.0 Dissolution of Fire Department. <br />A. Fire Department Initiated: If the dissolution of the Fire Department is initiated by <br />the Fire Department and is not the result of a termination of this Contract by one or <br />more of the Cities, the Fire Department's assets shall be conveyed to a successor <br />organization which provides Fire Protection Services to City and to the Cities of <br />Arden Hills and North Oaks; or, if a successor organization does not provide Fire <br />Protection Services to all three cities, Fire Department's assets shall be conveyed to <br />the City and to the Cities of Arden Hills and North Oaks, in the manner and in the <br />proportions deemed appropriate by such cities. <br />B. City Initiated: If the Dissolution of the Fire Department is the result of a termination <br />of this Contract by one or more of the Cities, the Fire Department's assets shall be <br />liquidated. The liquidated assets shall first be applied to ensure that the benefit <br />obligations of the Lake Johanna Firefighter Relief Association, Inc. are fully funded. <br />The balance of the liquidated assets, if any, shall be conveyed to the City and the <br />Cities of Arden Hills and North Oaks in the manner and in proportions deemed <br />appropriate by such cities. <br />C. Amendment of Bylaws: Fire Department shall amend its Bylaws in compliance <br />with Minnesota statutes governing non-profit organizations, if necessary, in order to <br />effectuate the provisions of this section. <br />13.0 Shoreview Fire Stations. The City is the fee owner of the following described <br />parcels on which it, has constructed and equipped fire stations: <br />North Station: The East 558 feet of the Southeast 1/4 of the Southeast 1/4 of <br />the Section 3, Township 30, Range 23, lying Northerly of the South 93 feet of <br />said Quarter section and Southerly of the following described line. Beginning at <br />the South quarter corner of said Section 3; thence North 0 degrees 00 minutes <br />along the North and South quarter line of said section, a distance of 616.83 feel <br />to the place of beginning of the line to be described; thence South 89 degrees <br />37.50 minutes East for a distance of 249.07 feet, thence along a 3 degree <br />curve to the right (having a central angle of 14 degrees 41 minutes a tangent of <br />246.09 feet) for a distance of 489.44 feet; thence South 74 degrees 56 minutes <br />3 seconds East a distance of 603.32 feet; thence along a 3 degree curve to the <br />left (having a central angle of 14 degrees 38.75 minutes, a tangent of 245.46 <br />feet) for a distance of 488.19 feet; thence South 89 degrees, 35 minutes 15 <br />seconds East to the East line of the Southeast 1/4 of the Southeast 1/4 of <br />Section 3, Township 30, range 23 and there terminating. <br />South Station: that part of the Southwest Quarter of the Southeast Quarter of <br />Section 26, Township 30, Range 23 described as follows: Beginning at the <br />intersection of the center line of Victoria Street and the Northerly right-of-way <br />line of the Minneapolis & St. Paul Sault Ste. Marie Railway; thence North 88 <br />degrees 41 minutes 40 seconds West (assumed bearing) along said Northerly <br />right-of-way line a distance of 233.50 feet; thence North 12 degrees 10 minutes <br />0 seconds East a distance of 220 feet; thence South 88 degrees 41 minutes 40 <br />seconds East a distance of 233.28 feet more or less to the center line of <br />Victoria Street; thence Southwesterly along said center line to the point of <br />
