ESTOPPEL CERTIFICATE <br />RE: Permanent Easement Parking and Access, filed January 7, 1997, as Document No. 2972336 <br />(the "Parking and Access Easement") <br />Master and Final Planned Unit Development Agreement, filed July 13, 2017, as Document <br />No. A04667260 (the "PUD") <br />The Parking and Access Easement and the PUD are hereby sometimes collectively referred <br />to herein as the "Declaration". <br />Reference is made to that certain Real Estate Purchase Agreement (the "Purchase <br />Agreement"), made effective as of October 25, 2023, by and between PNL INVEST, LLC, a <br />Delaware limited liability company ("Seller" or "Property Owner"), and QUINTESSENCE, <br />LLC, a Minnesota limited liability company, or its permitted assignee, ("Purchaser") whereby <br />Purchaser is acquiring that certain real property described in Exhibit A hereto (the "Property"). <br />This estoppel certificate (this "Estoppel") is given by the City of Arden Hills ("City") and <br />shall serve as an estoppel certificate. City hereby confirms, with the understanding that Purchaser <br />and any subsequent purchaser of the Property or any portion thereof, and any lender making a loan <br />secured directly or indirectly by the Property (collectively, "Estoppel Recipients") will rely upon <br />the statements made in this Estoppel, as of the date of this Estoppel: <br />The Declaration has not been amended, modified or superseded other than as set forth <br />above. <br />2. There are no uncured defaults with respect to the Property or Property Owner, and, to <br />the undersigned's actual knowledge, there are no events that have occurred which, with the giving <br />of notice or passage of time or both, would constitute a default with respect to the Property or <br />Property Owner under the Declaration. <br />3. As of the date of this Estoppel, all assessments, payments, expenses, fees or other <br />charges, if any, due under the Declaration with respect to the Property or Property Owner have <br />been paid in full by Property Owner. <br />4. In compliance with Section 4.0 M of the Parking and Access Easement, the City will <br />provide evidence of insurance covering the property contained within the Parking Easement and <br />Access Easement via separate delivery. <br />[Signatures on Following Page] <br />
