<br /> 4 . The COUNTY, its officers and employees shall not be deemed <br /> to assume any liability for intentional or negligent acts of <br /> . the MUNICIPALITY or of any officer, agent or employee <br /> thereof, and the MUNICIPALITY shall hold the COUNTY and its <br /> officers and employees harmless from, and shall defend the <br /> COUNTy and its officers and employees against any claim for <br /> damages arising out of the MUNICIPALITY'S performance of <br /> this Agreement. <br /> 5. The COUNTY agrees to maintain, during the term of this <br /> Agreement, automobile, general liability, workers' <br /> compensation and professional liability insurance in amounts <br /> deemed appropriate by the COUNTY through its Risk Manager. <br /> The COUNTY shall name the MUNICIPALITY as an additional <br /> insured on these policies except for the workers' <br /> compensation policy. The MUNICIPALITY agrees to pay, as a <br /> part of the actual cost as provided in Section IV below, a <br /> pro rata share of insurance costs. The COUNTY may elect to <br /> self-insure all or any portion of these risks. I f the <br /> COUNTY cannot obtain insurance and/or elects to self-insure, <br /> the MUNICIPALITY shall pay a pro rata share of the cost of <br /> self-insurance. Insurance costs as they relate to insurance <br /> coverage shall include premiums and deductibles. Cost of <br /> self insurance shall include reserves, claims and damage <br /> payments and administrative costs required to maintain self <br /> insurance. <br /> III. TERM OF AGREEMENT/TERMINATION <br /> . 1. This Agreement shall commence January 1, 1991, and shall be <br /> in effect until December 31, 1991, unless otherwise extended <br /> pursuant to the provisions of subparagraph 4 of Article IV <br /> of this Agreement. <br /> 2 . Either party may terminate this Agreement upon ninety (90 ) <br /> days' written notice to the other party. <br /> 3 . If the COUNTY obtains automobile, general liability, <br /> workers' compensation or professional liability insurance <br /> pursuant to Section II ( 5 ) , and the COUNTY hereinafter <br /> receives notice of cancellation, of non-renewal of insurance <br /> or of a material change to coverage, the COUNTY may <br /> terminate this Agreement upon thirty (30 ) days' written <br /> notice to the MUNICIPALITY. <br /> 4 . Notice to the COUNTY shall be given to the County Executive <br /> Director and Notice to the MUNICIPALITY shall be given to <br /> the Chief Executive Officer and/or City Attorney. <br /> IV. PAYMENT <br /> 1. The MUNICIPALITY agrees to pay the COUNTY the actual cost of <br /> providing all services covered by this Agreement. Actual <br /> . cost shall mean the MUNICIPALITY'S pro rata share of the <br /> COUNTY'S total cost of providing patrol and police <br /> -3- <br />
