Donor hereby agrees to pay at the closing, the full amoun-t of real estate taxes due and payable in the year 1975, inclusive of installments of special assessments certified to the County of Ramsey and payable therewith, levied against the subject parcel of land. Donee hereby agrees to assume and payor cause to be abated all special assessments for local improvements levied against the subject parcel, exclusive of installments thereof certified to the County of Ramsey and payable with real estate taxes due and payable in the year 1975. 3. In consideration for Donor's dedication and donation to Donee of approximately 10.321 acres of the subject parcel and subject to Donor1s actual conveyance of same to Donee at the closing, Donee hereby agrees that said dedication, donation and conveyance shall satisfy the park dedication requirements of Donee's Ordinance No. 98, as amended by Ordinance No. 175, both with respect to Donor's . present development of the 11. 088 acre tract at the southeast corner of the intersection of Lexington Avenue North and County Road E and its prospective development or subdivision of the approximately 40.34 acre tract of land remaining after Donor's conveyance of the subject parcel (approximately 11.66 acres in size) at the closing--when and if Donorls development or subdivision of said remaining tract of land approximate~y 40.34 acres in size is approved by Donee1s Council pursuant to the provisions of either Ordinance No. 99 or Ordinance No. 98. Nothing herein shall be construed as giving Donor prospective approval of such development or subdivision of said remaining tract of approximately 40.34 acres. 4. pro-oEand Exam:inatio-n 'o'f Title.
