Section 6.5. Counteruarts. This Agreement may be executed in any number of counterparts, each of which shall constitute one and the same instrument. Section 6.6. Law Governinq. This Agreement will be governed and construed in accordance with the laws of the state. Section 6.7. Exoiration. This Agreement shall expire on . August 1, 1994, unless earlier terminated or rescinded in accordance with its terms. Section 6.8. Provisions Survivina Rescission or Exoiration. Sections 4.5 and 4.6 shall survive any rescission, termination or expiration of this Agreement with respect to or arising out of any event, occurrence or circumstance existing prior to the date thereof. Section 6.9. Amendments to Aareement. Notwithstanding the foregoing, in the event that the city determines that the porject is not at least 50% complete on or before January 2, 1992 (unless waived by the Developer) certain provisions and sections of this Agreement shall be amended, without further actions ot the parties, to provide as follows: "Note PaYment Date means August 1, 1994, and each February 1 and August 1 of each year thereafter to and including February 1, 2006; provided, that if any such Note Payment Date should not be a Business Day, the Note Payment Date shall be the next succeeding Business Day;" . 18499 15
