Counterparts. This Agreement is executed in any number of <br /> counterparts, each of which shall constitute one and the same instrument. <br /> Section 9.7. Modification. If the Developer is requested by the holder of a <br /> Mortgage or by a prospective holder of a prospective Mortgage to amend or <br /> supplement this Agreement in any manner whatsoever, the City will, in good faith, <br /> consider the request with a view to granting the same unless the city, in its <br /> reasonable j udgmen t . concludes that such modification is not in the public <br /> interest, or will s ignif icantly and undesirably weaken the financial security <br /> provided to the interes ts of the City by the terms and provis ions of this <br /> Agreement. <br /> Section 9.8. Law Governing. This Agreement will be governed and construed <br /> in accordance with the laws of the State of Minnesota. <br /> See tion 9,9 Legal Opinions. Upon execution of this Agreement, each par ty <br /> shall, upon request of the other party, supply the other party with an opinion lof <br /> its legal counsel to the effect that this Agreement is legally issued or executed <br /> by, and valid and binding upon, such party, and enforceable in accordance with its <br /> . terms. <br /> Section 9,10. City Approvals. Any approval, execution of documents, or <br /> other action to be taken by the City pursuant to this Agreement, for the purpose <br /> of carrying out the terms of this Agreement or for the purpose of determining <br /> sufficient performance by the Developer under this Agreement, may be made, <br /> executed or taken by the Mayor and City Manager without further approval by the <br /> City Counc il. The City Manager may, but shall not be required to, consult with <br /> other City staff with respect to such matters. <br /> Section 9.11, Termination. This Agreement shall remain in effect until the <br /> later of the expiration of the tax increment payments of the date the Revenue <br /> Bonds have been paid in full, Upon Termination the City shall furnish Developer a <br /> document in recordable form that the Agreement has been terminated. <br /> -- <br /> ~ <br /> 22. <br />
