<br />. 6.2 City's Riaht of Termination. The city shall have the <br />right to terminate this Agreement upon thirty (30) days <br />prior written notice to the Developer, in the event the <br />Developer has defaulted in the performance of its <br />obligations hereunder, and has not cured such default within <br />the cure periods established in Article VII hereof. <br /> <br />6.3 Termination bv Develo~er. This Agreement may be <br />terminated by the Developer if Developer has complied with <br />all material terms of this Agreement and no event of default <br />by Developer has occurred, and the City has failed to comply <br />with any material term of this Agreement, and, after written <br />notice by the Developer of such failure the City has failed <br />to cure such noncompliance within ninety (90) days of <br />receipt of such notice, and the Developer has determined, in <br />good faith, that further efforts directed at the development <br />of the Redevelopment Property will be futile. Termination <br />of this Agreement pursuant to this section must be <br />accomplished by thirty (30) days prior written notice from <br />the Developer to the City. <br /> <br />6.4 Effect of Earlv Termination. If this Agreement is <br />terminated pursuant to the provisions of this Article, this <br />Agreement, and the mutual rights and obligations of the <br />parties from such date forward shall be null and void and of <br />no further effect, provided, however, that the terms and <br />. conditions of this Agreement shall continue to apply to any <br />development which is completed, in progress, or proposed, as <br />of the date of such termination. <br /> <br /> <br />ARTICLE VII. <br />DEFAULT <br /> <br /> <br />7.1 Events of Default bv Develo~er Defined. The following <br />shall be "Events of Default by Developer" under this <br />Agreement: <br /> <br />(a) Failure by the Developer to exercise reasonable efforts <br />to fulfill its obligations under this Agreement, <br />including, without limitation, the obligations of the <br />Developer set forth in Article III hereof; <br /> <br />(b) Transfer of all or substantially all of the assets of <br />the Developer or of any interest in the Redevelopment <br />Property or this Agreement in violation of the <br />provisions of Article VIII; <br /> <br /> <br /> <br /> <br />. <br /> <br />10 <br />
