<br />. 7.7 Aareement to Pay Attornev's Fees and EXDenses. <br />Whenever any Event of Default occurs and either party shall <br />employ attorneys or incur other expenses for the collection <br />of payments due or to become due or for the enforcement or <br />performance or observance of any obligation or agreement on <br />the part of the other party herein contained, the defaulting <br />party agrees that it shall, on demand therefor, pay to the <br />nondefaulting party the reasonable fees of such attorneys <br />and such other expenses so incurred by the nondefaulting <br />party. <br /> <br />ARTrCLE vnr. <br />ASSIGNMENT AND TRANSFER <br /> <br /> <br />The Developer may, with the prior written consent of the <br />City, sell, assign or otherwise transfer its rights, <br />interests and obligations under this Agreement. The City <br />agrees that its consent to any proposed sale, assignment or <br />transfer will not be unreasonably withheld or unduly <br />delayed. Notwithstanding the foregoing, the city agrees <br />that the Developer may transfer any part or portion of the <br />Redevelopment Property it acquires during the term hereof, <br />without the consent of the City, if the Developer'S <br />obligations with respect to such property have been <br />completed, or if such transfer does not include, as a part <br />. thereof, a transfer of the development rights and interests <br />of the Developer under this Agreement. <br /> <br /> <br />ARTICLE IX. <br />MISCELLANEOUS <br /> <br /> <br />9.1 Restrictions on Use. The Developer agrees for itself, <br />its successors and assigns and every successor in interest <br />to the Redevelopment Property, or any part thereof, that the <br />Developer and such successors and assigns shall devote the <br />Redevelopment Property to, and in accordance with, the uses <br />specified in this Agreement. <br /> <br />9.2 Environmental Matters. The City and Developer <br />acknowledge and agree that the execution of this Agreement <br />is not intended to, nor shall it be deemed to create or <br />impose any responsibility on either party for th~ cleanup of <br />any Hazardous Substances Which may exist or be discovered on <br />the Redevelopment Property, nor shall the execution of this <br />Agreement be deemed to create any liability for either party <br />under any Environmental Law. <br /> <br /> <br /> <br />. <br /> <br />13 <br />
