(d\11 :� 1 <br />Rl\ 1.1, '4�� <br />(.-Ik,1.l NIN( <br />GREAT RIVER GREENING <br />COOPERATIVE AGREEMENT <br />THIS AGREEMENT, hereinafter referred to as "Agreement", is made 14t" of June, 2024, by and between the CITY OF ARDEN <br />HILLS, hereinafter referred to as "the City" and GREAT RIVER GREENING, hereinafter referred to as the "GRG". <br />RECITALS <br />GRG is a non-profit 501(c)(3) conservation organization based in St. Paul, Minnesota organized for the purpose of restoring <br />natural areas and open spaces through community engagement; and <br />Under ML 2022, Ch. 77, Art. 1, Sec. 2, Subd. 50), 2022, Metro Big Rivers Phase 12, $8,200,000 is to the <br />commissioner of natural resources for agreements to acquire land in fee and permanent conservation easements <br />and to restore and enhance natural habitat systems associated with the Mississippi, Minnesota, and St. Croix <br />Rivers and their tributaries within the metropolitan area. Great River Greeing has received as an appropriation of <br />$742,000 from the fund to the commissioner of natural resources for an agreement to establish a monitoring and <br />enforcement fund as approved in the accomplishment plan and subject to Minnesota Statutes, section 97A.056, <br />subdivision 17. <br />GRG desires to contribute $54,700 towards the partnership project; and <br />The City desires to contribute $12,000 towards the partnership project; and <br />The City seeks to enter into an agreement with GRG for the purpose of detailing partnership contributions and the provision <br />of Technical Services in support of the Hazelnut Park Understory Restoration and Chatham Park Natural Resource <br />Management Brief Project. With GRG contributing funds from the appropriation to the project, the Landowner is subject to <br />terms as described in Exhibit A. <br />NOW THEREFORE, in consideration of the mutual undertakings and agreement contained within this agreement, the City and <br />GRG hereby agrees as follows: <br />AGREEMENT <br />Compensation and Terms of Payment <br />Compensation <br />Total Project Costs: $66,700 <br />GRG Contributions (OHF): $54,700 <br />City Contributions: $12,000 <br />Funding for this Project is provided by the Outdoor Heritage Fund as recommended by the Lessard -Sams <br />Outdoor Heritage Council (L-SOHC). The City agrees to the conditions as outlined in Exhibit A. <br />Except for the City contribution amount, GRG shall assume fiscal responsibility for all services completed under <br />this Agreement. The parties agree that GRG will complete or arrange for services to be completed under this <br />Agreement. The cost of such services will be funded by joint contributions of the parties. GRG's financial <br />obligation, as set out above, shall be in accordance with the amounts identified above and may be met through <br />actual payment for services to a third party or calculation of the value, on an hourly basis, for "in -kind" services <br />provided. <br />Proposed City Contributions is minimum $9,000 cash match with $3,000 of in -kind City labor or <br />contracted services (non -volunteer). <br />Terms of Payment <br />For the City's contribution, GRG shall submit invoices on an annual basis to the authorized agent of the City for <br />payment of the annual allocation, as shown in the table below. Payments shall be made within thirty (30) days <br />after receipt of invoices by the authorized agent of the City. <br />June <br />2025 <br />$3,000 <br />June <br />2026 <br />$3,000 <br />June <br />2027 <br />$3,000 <br />
