2. Water System Flushing <br />For flushing the Arden Hills water system <br />Consent <br />Until authorization is obtained from Roseville, Roseville shall grant permission only when <br />the water draw -off is metered. <br />SECTION X <br />REGULATIONS <br />A. Exhibit A contains a series of regulations which are required to be imposed upon Arden Hills <br />pursuant to this Agreement. Arden Hills agrees to be bound by the regulations as set forth in <br />Exhibit A. <br />B. Arden Hills agrees to operate their water system and use all best practices to eliminate pressure <br />spikes or other issues that would negatively affect the Roseville water system. Arden Hills agrees <br />to commit no act which could jeopardize Roseville's contractual relationship with St. Paul and to <br />take all reasonable affirmative acts to protect Roseville's contractual rights with St. Paul. <br />C. Arden Hills agrees to adopt any reasonable ordinance requested by Roseville to protect the water <br />facilities and water in Arden Hills. <br />D. Arden Hills will not sell any water to any other municipality without first receiving permission <br />from Roseville. <br />SECTION XI <br />GENERAL TERMS <br />A. Arbitration. In the event there is any dispute by the parties over the terms of this contract, both <br />agree to be bound by arbitration, pursuant to Minnesota Statute, Chapter 572, and any subsequent <br />amendments. <br />B. Force Maj eure. Neither party shall be held responsible for performance of this Agreement if the <br />party's performance is prevented by acts or events beyond the party's reasonable control <br />including, but not limited to, severe weather and storms, earthquakes, tornados or other natural <br />occurrences, strikes and other labor unrest, power failures, electrical power surges or current <br />fluctuations, nuclear or other civil or military emergencies, or acts of legislative, judicial, <br />executive or administrative authorities. <br />C. Records. All records kept by either Party with respect to the Agreement are subject to <br />examination by representatives of each party. All data collected, created, received, maintained <br />or disseminated for any purpose by Roseville or Arden Hills under this Agreement are governed <br />by Minnesota Statutes, Chapter 13 ("Act"), and the Minnesota Rules implementing the Act. <br />Page 6of12 <br />
