<br /> Agreement Between <br /> Ramsey County and Kutak Rock, LLP. <br />This is an agreement between Ramsey County, a political subdivision of the State of <br />Minnesota, on behalf of the Ramsey County Attorney ("COUNTY") and Kutak Rock LLP, <br />60 South 6th St Suite 3400, Minneapolis, MN 55402 ("ATTORNEYS"). <br /> WHEREAS, the Twin Cities Army Ammunition Plant Joint Development Authority, <br />a joint powers board of the State of Minnesota (“JDA”), on behalf of the City of Arden Hills <br />(“City”) and COUNTY, has the need for general legal services for all non-bond legal matters <br />relating to the JDA’s activities in support of the redevelopment of the Twin Cities Army <br />Ammunition Plant Site (“TCAAP Site”) provided for in the Joint Powers Agreement (“JPA”) <br />by and between the City and the COUNTY dated December 17, 2012 (“Development Legal <br />Services”); and <br /> WHEREAS, the JDA has determined that outside counsel to provide Development <br />Legal Services to the JDA can be retained, on behalf of the JDA, by the COUNTY, and the <br />COUNTY has agreed to retain said outside counsel on behalf of the JDA; and <br />WHEREAS, pursuant to a duly-made resolution of the Board of Commissioners of <br />the JDA (the “JDA Board”), the JDA Board has authorized and empowered the COUNTY to <br />enter into this Agreement on behalf of the JDA; and <br />WHEREAS, the County has agreed to enter into this Agreement on behalf of the <br />JDA; and <br />WHEREAS, the COUNTY has also agreed to make payments under this Agreement in its <br />capacity as the JDA’s Fiscal Agent (as defined in the JDA’s Bylaws), with payment to be <br />made in accordance with the JPA, from authorized funds as stated in the JDA’s annual <br />budget. <br />NOW THEREFORE, in consideration of the foregoing and the mutual terms and <br />conditions hereinafter set forth, the COUNTY and ATTORNEYS agree as follows: <br />1. Scope of Services. The COUNTY, on behalf of the JDA, hereby retains the <br />ATTORNEYS to provide the Development Legal Services to the JDA. The scope of the <br />Development Legal Services is set forth on (and limited by) Exhibit A (the “Scope of <br />Services”). The Development Legal Services shall be provided in accordance with the terms <br />and conditions contained herein. With regard to all services described herein, the <br />ATTORNEYS’ primary points of contact shall be Kathleen Ritter, Assistant County <br />Attorney, and Jada Lewis, Civil Division Director. <br />2. Cost/Payment. <br />A. ATTORNEYS’ services under this Agreement shall be performed at the <br />government rate of: $310.00 per hour for Jenny Boulton (and up to $310.00 per
