The headings are merely for organization and should not be construed as adding meaning to the Agreement or interpreting the associated sections. 11.12 Authority. Each of the below signers of this Agreement represent that they understand this Agreement and have the authority to sign on behalf of and bind the Parties they are representing. 11.13 Conflict. In the event there is a conflict between this Agreement and any applicable statement of work, or Customer purchase order, this Agreement controls unless explicitly stated otherwise. 11.14 Morality. In the event Customer or its agents become the subject of an indictment, contempt, scandal, crime of moral turpitude or similar event that would negatively impact or tarnish Flock's reputation, Flock shall have the option to terminate this Agreement upon prior written notice to Customer per the terms and conditions in section 7.2 Termination above. 11.15 Notices. All notices under this Agreement will be in writing and will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by email; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt to the address listed on the Order Form (or, if different, below), if sent by certified or registered mail, return receipt requested. 11.16 Non -Appropriation. Notwithstanding any other provision of this Agreement, all obligations of the Customer under this Agreement which require the expenditure of funds are conditioned on the availability of funds appropriated for that purpose. Customer shall have the right to terminate this Agreement for non -appropriation with thirty (30) days written notice without penalty or other cost. 11.17 Audit. Until the expiration of six years after the furnishing of services pursuant to this Agreement, Flock, upon request, shall make available to the Customer, the State Auditor, or the Customer's ultimate funding source, a copy of the Agreement, and the books, documents, records, and accounting procedures and practices of Flock relating to this Agreement. 11.18 Data Practices. All data collected, created, received, maintained or disseminated for any purpose in the course of the Flock's performance under this Agreement is subject to the provisions of the Minnesota Government Data Practices Act, Minn. Stat. Ch. 13, any other applicable state statutes, any state rules adopted to implement the Act and statutes, as well as federal statutes and regulations on data privacy. Flock shall take all reasonable measures to secure the computers or any other storage devices in which Customer data is contained or which are used to access Customer data in the course of providing services under this Agreement.
