DISPUTE RESOLUTION <br />. 7.1 PAYOR and CorCare shall attempt to resolve any dispute under this Agreement informally. Notice <br /> of any PAYOR complaint or dispute shall be filed in writing with CorCare within thirty (30) days of the <br /> origin of the dispute to assure appropriate processing. Complaints or disputes as to claims management, <br />I uti1ization review, and quality assurance shall be resolved informally, if possible. If resolution is not <br /> possible, then the issue will be resolved by arbitration, in accordance with rules and procedures established <br /> by the American Arbitration Association. <br />. <br /> 8. TERI\1INATION OF AGREEMENT <br />I 8.1 This Agreement shall be effective from the date first written above, until terminated or amended. <br />I 8.2 This Agreement shall run for a term of one (1) year, unless sooner terminated under the terms of <br /> this Agreement. <br />.. 8.3 This Agreement shall automatically renew for further I-year terms on each anniversary date of the <br /> effective date of this Agreement. <br />I 8.4 This Agreement may be terminated by either party by written notice to the other party sixty (60) <br /> days in advance of such termination. <br />I 8.5 This Agreement shall automatically terminate, should either party cease to do business in <br /> Minnesota. <br />I 8.6 Any termination of this Agreement shall have no effect on the obligations of the parties arising prior <br /> to termination. <br />I <br /> 9. GEJII'ERAL PROVISIONS <br />. 9.1 This Agreement may not be assigned, delegated, or transferred by either party without the written <br /> consent of the other party. <br />I 9.2 The validity, construction, and interpretation of this Agreement shall be governed by the laws of the <br /> State ofMinoesota. <br />. 9.3 This Agreement and any attachment, addendum, or other document referred to herein constitutes <br />,. the entire agreement between the parties hereto pertaining to the subject matter hereof, and supersedes all <br /> prior agreements, understandings, negotiations, and discussions, whether oral or written, or the parties <br /> pertaining to the subject matter hereof <br />1 <br />
