<br /> GxH1tJ;,', ...3 I <br /> MANAGEMENT SERVICES AGREEMENT .1 <br /> I <br /> THIS AGREEMENT, made and entered into the first day of ,_, 1996. by and between the I <br /> North Merro 1-35W Corridor Coalition (Coalition) and Strauss Management Company (Company). <br /> \VHEREAS, the Coalition is a joint pO\vers organization organized under the laws of the State of tvtinnesota, and I <br /> WHEREAS, Company is a Minnesota corporation, and <br /> \VHEREAS, Company is prepared to offer its services in the capacity of providing management services to I <br /> Coalition, and <br /> WHEREAS, Coalition desires to engage Company to provide the scope of services set forth herein. I <br /> NOW THEREFORE, in consideration of the mutual promises and obligations of the parties herein, each of them I <br /> hereby represent, covenant, and agree with the other as foHows: <br /> ARTICLE I <br /> SCOPE OF SERVICES I <br /> STRAUSS MANAGEMENT COMPANY SHALL: <br /> I. Through its President, Joseph D. Strauss, assume the responsibility of carrying out the day.:to-day business of .. <br /> the Coalition and develop appropriate strategies to implement the Coalition's purpose. <br /> 2. Through its President, Joseph D. Strauss, asume the position of Executive Director of the Coalition. <br /> 3. Hire, with the prior approval of the Coalition's Board, such necessary and authorized personnel and service I <br /> providers, including but not limited to, public relations and governmental relations specialists, required for the <br /> purpose of carrying out the specific objectives of the Coalition. <br /> 4. Develop a business sponsorship program to support the Coalition's efforts through both in-kind and cash I <br /> donations to the Coalition. <br /> S. Prepare grant application to both governmental and non-profit entities designed to secure available resources to <br /> assist the Coalition in carrying out its stated objectives. <br /> 6. Work with community organizations to maximize the effort of all to achieve the Coalition's specific objectives I <br /> as adopted from time to time by the Coalition's Board. <br /> 7. Report to the Coalitions' Board and any appointed Committees on a regular basis as to the progress the <br /> organization is making toward its stated purpose. I <br /> 8. Represent the Coalition from time to time in the capacity of spokesperson before governmental bodies, the <br /> public, the media and other appropriate organizations. <br /> 9. Implement the Coalition's strategic and annual budget plans as adopted by the Board of the Directors. <br /> 10. Develop and implement organizational plans as approved by the Board of Directors. I <br /> 11. Develop and implement a marketing plan, approved by the Board of Directors, that promotes the objectives of <br /> the Coalition. <br /> 12. Coordinate the Coalition's organizational plans and objectives with other associations and organizations 50 as I <br /> to better enhance the opportunity to achieve the Coalition's purpose. <br /> 13. Make on behalf of the Coalition all required filings with federal and!or state regulatory agencies. <br /> 14. Prepare all Coalition RFP's for Coalition projects. I <br /> 15, Interview all vendors submitting RFP responses for Coalition work. <br /> 16.
