The . <br />Authority will meet on an as-needed basis. Mr. Fritsinger recommended meetings begin <br />at 7 :00 p.m. on the last Council meeting of each month as needed. <br />President Probst stated that the bylaws do not address canceling meetings. He asked what <br />if a meeting is not needed, would official action be needed to cancel it. Mr. fritsinger <br />stated he will research and report back his findings. <br />Commissioner Aplikowski suggested taking out the word "regular" meeting. <br />Mr. Fritsinger stated the remainder of the by-laws deal with the EDA process and recommended <br />approval. <br />MOTION: Malone moved and Aplikowski seconded a motion to adopt Resolution #97-01, <br /> Adopting the By-Laws ofthe Arden Hills Economic Development Authority. <br />Commissioner Keim questioned whether the City Council approves the by-laws or whether <br />Section 4.1.1. shouldn't be changed to the "EDA". <br />President Probst asked what actions do the Council need to ratifY of the EDA. Mr. Fritsinger <br />stated the EDA has powers of their own and they are a separate governing body. <br />Commissioner Aplikowski stated she believes 4.1.1. should remain "City Council." . <br />Commissioner Malone noted the EDA budget is approved by the City Council. <br />President Probst asked if Executive Director Ringwald had any comments and Mr. Ringwald <br />stated he did not. <br />The motion carried unanimously (5-0). <br />MISCELLANEOUS COMMENTS <br />Mr. Fritsinger noted the by-laws do not address the number of members on the Authority because <br />the Council's enabling resolution set that up. <br />President Probst stated he is happy to see the EDA moving forward. <br />ADJOURN <br />MOTION: Hicks moved and Keim seconded a motion to adjourn the meeting at 7:15 p.m. <br /> The motion carried unanimously (5-0). <br />Dennis Probst Brian Fritsinger . <br />President Secretary-Treasurer <br />
