Within ten (10) days after the date of this Agreement, Seller <br /> shall deliver to Buyer true and correct copies of all of the Documents (as I <br /> hereinaftcr defined) for Buycr's examination and analysis. <br />(c) Testin~. Within ninety (90) days after the date hereof, Buyer shall have I <br />detennined prior to the Closing Date, that it is satisfied with the results of and matters <br />disclosed by soil tests, engineering inspections, hnzardous waste and environmental <br />reviews and other tests and inspections of the Property, all of which shall be obtained at I <br />Buyer's sole cost and expense. - <br />(d) Document Re\'iew Within ninety (90) days of the date hereof, Buyer shall have I <br />determined, that it is satisfied with its examination nnd analysis of all contmcts, <br />agreements, plans, warranties and nil other documents in connection with the Property <br />(together with any amendments thereto), including, without limitation, the following (all I <br />of which are collectively referred to herein as the "Documents"): <br /> (I) To the cxtent available, results of soil tests, pcrcolation tests, stmcturnl I <br /> engineering tests, masonry tests, water, oil, gas, mineral, asbestos, radon, <br /> fonnaldehydc, PCB or other environmental tests, inspection reports; <br /> market studics and core samples, if any, which relate to the Property or the eI <br /> business carried upon therein and which are either in the possession of <br /> Seller or owned by Seller. <br /> (2) Leases, contracts, agreements or other instruments affecting all or any I <br /> portion of the Property (the "Contracts"), including, without limitation, <br /> all warranties and guaranties given to, assigned to, or benefiting Seller or I <br /> the Property. <br /> (3) Copies of or access to all other books, records, documents, instruments or I <br /> materials in Seller's possession or under Seller's control which relate to <br /> the operation of the Property. <br /> - I <br />(e) Representations and Warranties. The representntions and warranties of Seller <br />contained in this Agreement will be true now and on the Closing Date as if made on the <br />Closing Date, and Seller shall hnve delivered to Buyer at Closing (as defined in Section 5 I <br />hereof) a certificate dated the Closing Date, signed by an authorized representative of <br />Seller, certifying that such representations and warranties are true as of the Closing Date <br />(the "Bring-down Certificate"). I <br />If any condition set forth in this Section 3 has not been satisfied or waived by Buyer before the <br />Closing Date, then Buyer may terminate this Agreement at any time on or before the Closing I <br />Date by notice to Seller.
