Buyer will indemnify Seller and its successors and assigns against, and will hold Seller and its <br />I successors and assigns hannless from, any expenses or damages, including reasonable attorneys' <br /> fees, that Seller incurs because of the breach of any of the above representations and warranties, <br />I whether such breach is discovered before or after Closing. <br /> I\.) BROKER'S COMMISSION. Buyer and Seller represent to each other that they <br />I lmve not had any dealings with any broker or finder in connection with the transactions <br /> contemplated by this Agreement. Seller shall indemnify and hold Buyer harmless from and <br /> against any and all liability to which Buyer may be subjected by any broker's, finder's, or similar <br />I fce with respect to the transactions contemplated by this Agreement to the extent such fee is <br /> attributable to any action undertaken by or on behalf of Seller or any affiliate of Sell~r. Buyer <br /> shall indemnify and hold Seller harmless from and against any and all liability to which Seller <br />I may be subjected by reason of any broker's, finder's, or similar fee with respect to the <br /> transactions contemplated by this Agreement to the extent such fee is attributable to any action <br /> undertaken by or on behalf of Buyer. <br />I 12.) SURVIV AI.. All of the covenants, representations and warranties made in this <br /> Agreement, or in any schedule, exhibit, certificate. or document delivered in connection with this <br />I Agreement will survive and be enforceuble after the Closing. <br /> 13.) NOTICES.
