The Closing shall occur on or I <br /> before October 15, 1997, <br /> (B) The Closing shall be effected in accordance with the following procedure: I <br /> Not less than five (5) days prior to the Closing Datc, Purchaser shall cause <br /> (1) <br /> the Title Company to prepare and deliver to Purchaser and Seller aprelimimuy closing I <br /> statement for each party showing all amounts due from each party, including ~l closing <br /> costs and expenses computed as set forth in this Agreement. <br /> (2) On or before the Closing Date, Seller shall deliver or cause to be delivered I <br /> to the Title Company the following; <br /> (a) Full releases of all mortgages, deeds of trust and other financing I <br /> instruments affecting the Property, duly executed by the holders thereof, <br /> acknowledged and in proper form for recording. I <br /> (b) The Deed, in a fonn reasonably approved by Purchaser and the <br /> Title Company. fjI <br /> (c) Such instruments and documents relating to the organization, <br /> existence and authority of Seller as the Title Company shall require. I <br /> (d) Such other documents, instruments, certificates and assurances as <br /> shall be required by the provisions of this Agreement. I <br /> (e) Seller's closing statement, duly executed. <br /> (f) Such closing instructions to the Title Company as Seller shall I <br /> desire, which shall not be inconsistent with the provisions of this Agreement <br /> ("Seller's Instructions''), I <br /> (3) On or before the Closing Date, Purchaser shall deliver or cause to be <br /> delivered to the Title Company the following: I <br /> (a) By federal wire transfer of funds to the Title Company's escrow <br /> account, an amolUlt equal to (i) the balance of the Purchase Price due at Closing, I <br /> adjusted as herein provided, plus (ii) the aggregate amolUlt of closing costs for <br /> which Purchaser is responsible as provided herein, all as shown on Purchaser's I <br /> closing statement. <br /> (b) Such instruments and documents relating to the organization, .. <br /> existence and authority of Purchaser as the Title Company shall require. <br /> 9 I <br /> 0rd 61'0<' a:6 <':19 '~'d '3~I3a ~ ^3la~a 90:~1 <.661-61-d3S <br />
