<br />I . <br />I CITY OF ARDEN HILLS <br />" MEMORANDUM <br /> DATE: December 15,1997 <br />I TO: Mayor and City Council <br /> Kevin RIngwald, Community Development Director k' <br />I FROM: <br /> SUBJECT: Sales and Purchase Agreement, Morris Communication Corporation <br />I Reouested Action <br />I The City Council is asked to consider the Statement ofIntent (Exhibit A) and a revised Sales and <br /> Purchase Agreement (Exhibit B) between the City of Arden Hills and Morris Communication <br /> Corporation (Morris). <br />I Back2round <br /> The City Council initially reviewed the Sales and Purchase Agreement with Morris <br />I Communication Corporation (aka, Naegele) in September, 1997. Morris subsequently rejected <br /> the agreement approved by the City Council as a result of the changing nature of this project. <br />'e Staff has held numerous meetings since that time with Morris. At one point, the City Council <br /> adopted Resolution #97-50 authorizing condemnation. This action was taken in order to allow <br /> City staff to proceed with acquisition should the negotiations break down or an impasse reached. <br />I The attached Statement of Intent and Sales and Purchase Agreement has been approved by <br /> Morris officials. These documents have been altered significantly and, as a result, the City <br />I Council is being asked to review them once again. The basic points have not changed, but the <br /> following will attempt to address the major issues. <br />I What is the Statement oflntent? <br /> As the project scope expanded, Morris expressed a desire to clarify the future development of the <br />I remaining Morris property. The Statement ofIntent provides that the City will make the <br /> development/redevelopment rights for the A TS Steel property available to Morris until <br /> December 31,1999 (Section 3.0, A). The Statement of Intent may also be extended for two (2) <br />I additional years (Section 3.0, B, I and 2). In other words, Morris has recognized the need to <br /> include the A TS property in any proposed development, to maximize the site's development <br /> potential. <br />I <br />I <br />t/j <br />I <br />
