Closinq and Possession. The closing of the purchase I <br />and sale contemplated by this Agreement (the "Closing") <br />shall be no earlier than completion of title review by <br />City, unless otherwise agreed in writing by the parties <br />(the "Closing Date"). The Closing shall take place at I <br />10:00 a.m. local time at the offices of ~irst American <br />Title Insurance Company, or such other place and time <br />as may be acceptable to Seller and City. I <br /> <br />1. Seller's Closinq Documents. On the Closing Date, <br />Seller shall execute and/or deliver to City the <br />following (collectively, the "Seller's Closing ~ <br />Documents") : .. <br /> <br />a. Deed/Easements. A warranty Deed, in <br />recordable form, conveying marketable title I <br />to the Real Property to City, free and clear <br />of all encumbrances, except, permitted <br />encumbrances. I <br /> <br />b. Owners Duplicate Certificate(s) of Title, <br />Any existing owner's duplicate certificate(s) <br />of title to the Real Property; I <br /> <br />c. Title Policy. The Title Policy, or a <br />suitably marked-up Title Commitment, as II <br />provided for in Section 3.0(E) herein; <br /> <br />d. Seller's Affidavit. An Affidavit by Seller <br />indicating that on the Closing Date there are I <br />no outstanding, unsatisfied judgments, tax <br />liens, or bankruptcies against or involVing <br />Seller or the Real Property; for which <br />Sellers are responSible; that there has been I <br />no skill, labor. or material furnished to the <br />Real Property for which payment has not been <br />made or forawhich mechanics' liens could be II <br /> <br /> <br /> <br />-- <br />I <br />
