CONTINUATION ADMINISTRATION CONTRACT <br />THIS AGREEMENT, made on this day March of 2026, by and between <br />Benefit Extras, Inc. (“Benefit Extras”) and the City of Arden Hills (“Employer” <br />and “Plan Administrator”). <br /> <br />WHEREAS, Employer has established and maintains certain benefit plans (the <br />“Plans”) that must comply with the Internal Revenue Code of 1986 (the “Code”), the <br />Employee Retirement Income Security Act of 1974 (“ERISA”), and/or the Public Health <br />Services Act (“PHSA”); and <br />WHEREAS, the Plans are required to provide continuation coverage under <br />applicable law; and <br /> <br />WHEREAS, Employer and Plan Administrator desire that Benefit Extras furnish <br />certain services described in this Continuation Administrative Services Agreement (the <br />“Agreement”) in the operation and administration of the Plans; <br />NOW, THEREFORE, in consideration of the mutual promises and covenants <br />contained herein, and the exhibits and Addenda, if any, attached hereto, Employer, Plan <br />Administrator, and Benefit Extras hereby agree as follows: <br /> <br />I. Definitions <br />The following definitions shall apply to this Agreement: <br />A. Administrative Services - means those services relating to the <br />administration of the Plans to be performed by Benefit Extras as set forth <br />in this Agreement and the exhibits hereto. <br />B. Agreement - means this Continuation Administration Contract and any <br />exhibits attached hereto and any outside agreements specifically <br />incorporated by reference. <br />C. Alternative Coverage – means coverage offered as an alternative to <br />Continuation Coverage to induce a Qualified Beneficiary not to elect <br />Continuation Coverage. <br />D. Benefit Extras – means Benefit Extras, Inc., a Minnesota corporation <br />(including all of its authorized representatives), an independent contractor <br />designated to perform certain Administrative Services pursuant to this <br />Agreement with respect to the Plans. <br />E. Code - means the Internal Revenue Code of 1986 and regulations <br />thereunder, as amended from time to time.
