In regard to the adequacy of the Budget and/or levels of fire p!:otection ser7ices, the authority of the arbit!:ation panel shall be limited to determining whether or not the level of se!:vice requested by the City can reasonably be provided by the Oepa!:trnent for the amount of the Budget. 14. j.j;\eli'dme'rlts. This Agreement may only be arnended by the mutual consent in wdting of the pa!:ties. 15. Entire Aqreement; Exhibits. This Agreement, including the exhibits attached hereto, contain the entire agreement of the parties. It may not be changed o!:ally but only by an agreement in w!:iting signed by the party against whom enfo::-cement of any waive!:, change, modification, extension o!: discharge is sought. All preliminary negotiations are me!:ged into and incorporated in this Agreement. _ 16. Not'-J6iii't'''venturers. This Ag!:eement does not create the relationship of principal and agent or of pa!:tne!:ship or of joint 7entu!:e o!: of any association between the City and the Depa!:tment, the sole ,!:elationship between them being that of 'independent cont!:acto!:s. 17. "W'a:iv'e!:. The action or inaction by either pa!:ty with . knowledge of any breach of this Agreement by the other party, or of any default on the pa!:t of the other pa!:ty in the obse!:vance or performance of any of the obligations or C07enants of this Agreeme~t, shall not be deemed to be a waive!: of any of the p!:ovisions of this Agreement. No failure on the part of either pa!:ty to enforce any obligation o!: covenant he!:ein contained, nor ,any waiver of any !:ight hereunder by eithe!: party, unless in 'w!:iting, shall discharge or invalidate such obligation or-- covenant o!: affect the !:ight of said pa!:ty to enforce the same in the ~vent of any subsequent breach or default. . 18. in"Jafi"d'lty. If any pa!:t of this Ag!:eement, or any part of any p!:ovision he!:eof, shall be adjudicated to be void or invalid, then the remaining provisions hereof not specifical~y adjudicated to be invalid, shall be enforced without reference to the pa!:t o!: portions so adjudicated, insofar as such !:emaining p!:ovisions are capable of enfo!:cement. 19.
