This Agreement is dated the _ day of , 1999, and is entered <br />into by and between 550 Associates, a Minnesota Partnership ("Landowne(') and the <br />City of Arden Hills, a municipal corporation and political subdivision of the State of <br />Minnesota ("City"). <br /> <br />2.0 Recitals. <br /> <br />A. Landowner owns and operates the Arden Manor Manufactured Home Park <br />located within the City. <br /> <br />B. The City is grantee of the "Park Easement" ("Park Easement Area") illustrated <br />on Exhibit A attached and located within the Arden Manor Manufactured Home <br />Park. <br /> <br />C. The City is considefing the award of bids for the construction of improvements <br />to the Park Easement Area as illustrated on plans prepared by BRW dated <br />August 23, 1999. <br /> <br />D. <br /> <br />Reasonable construction methods dictate that various storm water drainage <br />improvements be constructed on private property adjacent to the Park Easement <br />Area as part of the Arden Manof Park Improvement Project. <br /> <br />. <br /> <br />E. Construction of the improvements to the Park Easement Area and related storm <br />water drainage improvements will benefit the Landowner. <br /> <br />3.0 Terms and Conditions. In consideration of the undertakings herein expressed, the <br />parties agree as follows: <br /> <br />1. <br /> <br />The City will award contracts and construct improvements to the Arden Manor <br />Park and related storm water drainage improvements pursuant to the plans and <br />specifications prepared by BRW. <br /> <br />2. <br /> <br />The City will not specially assess the costs of constructing such improvements <br />to the Landowner. <br /> <br />3. <br /> <br />On or before November 15, 1999, the Landowner will convey title to the Park <br />Easement Area to the City by Warranty Deed free and clear of all liens or <br />encumbrances. <br /> <br />. <br /> <br />1 <br />
