<br />Recovery Act, and as amended, 42 U.S.C. Sec. 6903(5), and includes all <br />regulations issued pursuant to any of the above statutes, and any unsafe, <br />noxious, toxic or hazardous substance or similar terms under any other state, <br />federal or local law, and any other applicable environmental, land use or similar <br />act, statute, ordinance or regulation or as alleged or determined under common <br />law. The term "Hazardous Substance" includes asbestos and related substances, <br />PCBs, and gasoline, kerosene and all other liquid or viscous petroleum products. <br />Seller has complied and caused the Real Property to comply with all laws, <br />ordinances, rules, regulations, and authorities having jurisdiction over Seller, the <br />Real Property and the use by Seller of the Real Property, relating to any <br />Hazardous Substances or material. <br /> <br />7.10 Business Eauioment. Business equipment is in the same working order as when <br />viewed and inventoried by the City's appraiser. <br /> <br />8. Closing. Subject to the conditions contained herein, the closing shall take place <br />on or before the 10th day of March, 1999 (the "Closing Date") unless otherwise mutually <br />agreed upon in writing by the parties. The closing shall take place at the offices of Peterson <br />Fram & Bergman, P.A. or at such other place as is mutually agreeable. At the closing, Seller <br />shall deliver to Purchaser: <br /> <br />8.1 A Warranty Deed for the Real Property, properly executed on behalf of Seller in <br />recordable form. <br /> <br />8.2 All certificates, instruments and other documents necessary to permit the <br />recording of the Warranty Deed. <br /> <br />8.3 A Bill of Sale for the Business Equipment and Black Dirt properly executed on <br />behalf of Seller, conveying the Business Equipment and Black Dirt to Purchaser <br />with warranty of title thereto, such Bill of Sale to be properly executed on behalf <br />of Seller and subject to no exceptions or encumbrances. The parties <br />acknowledge that the Bill of Sale for the black dirt shall be provided upon <br />completion of negotiations or arbitration as referenced in Section 2.3 of this <br />Agreement. <br /> <br />8.4 A standard Seller's Affidavit with respect to judgments, bankruptcies, tax liens, <br />mechanics liens, parties in possession, unrecorded interests, encroachment or <br />boundary line questions, and related matters, properly executed on behalf of <br />Seller. <br /> <br />8.5 Originals, to the extent that the same are in Seller's possession, or subject to <br />Seller's control, of all documents referred to in Section 5 above. <br /> <br />6 <br /> <br />. <br /> <br />. <br /> <br />. <br /> <br />. <br />
