<br />. <br /> <br />. <br /> <br />. <br /> <br />DRAFT <br /> <br />INTERIM AGREEMENT <br /> <br />1.0 Parties. THIS INTERIM AGREEMENT is dated the day of <br />, 2002, and is entered into by and between the City of Arden Hills, a Minnesota <br />statutory city (herein "City") and CRR, LLC, a Minnesota limitcd liability company <br />("Developer"). <br /> <br />2.0 Recitals. <br /> <br />A. WHEREAS, the City anticipates rccelVlng from the General Services <br />Administration ("GSA") a conveyance of approximately 1 ,072 acres of the <br />former Twin Cities Army Ammunition Plant ("TCAAP Site") which is more <br />particularly described or illustrated on Exhibit A attached; <br /> <br />B. <br /> <br />WHEREAS, thc City desires to have the TCAAP Site dcveloped as a mixed <br />use open space, rccreational, commercial, residential and professional <br />development ("Project") generally consistent with the Vento Plan, attached <br />as Exhibit B ("TCAAP Utilization Plan"); <br /> <br />c. <br /> <br />WHEREAS, the parties agree that the TCAAP Utilization Plan provides a <br />broad framework for the Project and that modification of the TCAAP <br />Utilization Plan may be necessary or appropriate due to economic, <br />environmental, or other factors; <br /> <br />D. WHEREAS, the City has selected the Developer to be the Master Developer <br />for the construction of the Project on the TCAAP Site subject to the <br />negotiation and execution of a Disposition and Development Agrcemcnt <br />("DDA"); <br /> <br />E. WHEREAS, Developer, at its sole cost and expense, has agreed to assist the <br />City in obtaining a transfer of the TCAAP Site from the GSA and to <br />undertake an cxtensive environmental analysis of the TCAAP Site in order to <br />determinc ifit is cconomically feasible to construct the Project on the TCAAP <br />Sitc; and <br /> <br />F. <br /> <br />WHEREAS, the parties wish to enter into an Interim Agreement which <br />describes the obligations of the parties relating to the transfer of the TCAAP <br />Site, the environmental survcy and analysis of the TCAAP Site, the <br />preparation of a DDA which would become effective upon transfcr of the <br />
