CITY OF ARDEN HILLS RAMSEY COUNTY, MINNESOTA . RESOLUTION NO. 89-42 RESOLUTION TERMINATING PURCHASE AGREEMENT WITH KEM MILLING/DARLING AND COMPANY WHEREAS, the City of Arden Hills has entered into a purchase agreement with Darling and Company for the purchase of the Kem Milling property located at 619 - 14th Street NE; and WHEREAS, the City of Arden Hills has paid to Darling and Company the sum of $15,000 as earnest money for said proposed purchase; and WHEREAS, Section 4 of the Purchase Agreement has been amended to provide that the Buyer, at its discretion, may elect to terminate the Purchase Agreement on the basis of the environmental audit, providing notice of such termination is delivered to the Seller in accordance with Section 14 of the Purchase Agreement, on or before 5:00 o'clock P.M., August 2, 1989; and . WHEREAS, after receipt of environmental assessment studies prepared by Delta Environmental Consultants, Inc., the City has determined that it would be in the City's best interest to terminate the purchase agreement eontract until such time as Darling and Company has removed and paid for disposal of all hazardous materials identified in the Environmental Assessment studies indicated by Delta Environmental Consultants, Inc. NOW THEREFORE BE IT RESOLVED by the Arden Hills City Council that the above referenced purchase agreement between Darling and Company and the City of Arden Hills, dated June 26, 1989, and amended July 10, 1989, be hereby terminated effective July 31, 1989.
