<br />I Exhibit F <br /> <br />. <br /> <br />DECLARATION OF RESTRICTIVE COVENANTS <br /> <br />THIS DECLARATION, made this day of , 2003, by Cardiac <br />Pacemakers, Inc., a Minnesota corporation ("Cardiac"), and Atlantic Financial Group, Ltd., a <br />Texas limited partnership, doing business in Minnesota as Atlantic Financial Group, LP <br />("Atlantic"). <br /> <br />RECITALS <br /> <br />A. Cardiac is the fee owner of a certain tract of land legally described on Exhibit A <br />attached hereto (the "Cardiac Tract") and located in the City of Arden Hills, County of Ramsey, <br />State of Minnesota; and <br /> <br />. <br /> <br />B. Atlantic is the fee owner of a certain tract of land legally described on Exhibit B <br />attached hereto (the "Atlantic Tract") and located in the City of Arden Hills, County of Ramsey, <br />State of Minnesota; and <br /> <br />C. The Cardiac Tract and the Atlantic Tract are contiguous and adjacent to each <br />other, a portion of each comprising that private road-way, formerly known as Femwood <br />Avenue, legally described on attached Exhibit C (the "Land"); and <br /> <br />D. In order to induce the City of Arden Hills to vacate Fernwood Avenue, Cardiac <br />and Atlantic agree to subject the Land to certain covenants, conditions and restrictions <br />hereinafter set forth; <br /> <br />AGREEMENT <br /> <br />NOW, THEREFORE, in consideration of the premises and other good and valuable <br />consideration, the receipt and sufficiency of which are hereby acknowledged, Cardiac and <br />Atlantic hereby declare and make all of the Land subject to the following covenants, conditions <br /> <br />. <br /> <br />Ml:974575.02 <br /> <br />-1- <br />
