<br />The parties acknowledge that the CIC Documents are in a draft format, <br />and may be modified by mutual consent of the parties prior to recording. <br /> <br />G. Ramsey County will purchase furnishings and equipment for Arden Hills <br />(Arden Hills equipment) as part of a Ramsey County purchasing contract, <br />or will otherwise provide Arden Hills with a fumishing and equipment <br />allowance (Arden Hills allowance) as outlined in the project budget <br />attached as Exhibit 9. <br /> <br />F. <br /> <br />H. Ramsey County wishes to sell a condominium unit ("Arden Hills <br />Condominium Unit") to Arden Hills and Arden Hills wishes to purchase the <br />Arden Hills Condominium Unit and the Arden Hills Office Equipment from <br />Ramsey County pursuant to the terms and conditions of this Agreement. <br /> <br />3.0 Terms and Conditions. Now therefore, in reliance upon the representations <br />contained herein and in consideration of the mutual undertakings expressed <br />herein, the parties agree as follows: <br /> <br />C. <br /> <br />A. <br /> <br />Conveyance of Property. Ramsey County shall convey the Arden Hills <br />Condominium Unit to Arden Hills by quit claim deed, subject to the <br />provisions of the CIC Documents, and shall convey the Arden Hills <br />Equipment by Bill of Sale, or otherwise provide the Arden Hills allowance. <br /> <br />B. <br /> <br />Purchase Price. Arden Hills shall pay the sum of $2,387,514.00 to <br />Ramsey County for the Arden Hills Condominium Unit and for the Arden <br />Hills Equipment, or an in amount that is reduced to reflect the Arden Hills <br />Allowance if Arden Hills does not purchase the Arden Hills Equipment <br />through Ramsey County; which purchase price shall be paid in the <br />following manner: <br /> <br />1. 25% of the Purchase Price shall be due and payable on the 151 day <br />of September, 2003; <br /> <br />2. 25% of the Purchase Price shall be due and payable on the 1st day <br />of December, 2003; <br /> <br />3. 25% of the Purchase Price shall be due and payable on the 151 day <br />of March, 2004; and <br /> <br />4. The balance shall be due and payable on the day of -closing. <br /> <br />Environmental Hazards. The parties recognize that the Property is a <br />Superfund site and that Ramsey County represents that the property will <br />be cleaned to a residential standard and that such standard is appropriate <br />for the intended use by Arden Hills. <br /> <br />2 <br /> <br />. <br /> <br />. <br /> <br />. <br />
