<br />Exhibit E: Public Trailway Easement <br /> <br />. <br /> <br />TRAIL EASEMENT <br /> <br />THIS TRAIL EASEMENT (the "Agreement") made as of the _ day of <br />, 2003, by and between Cardiac Pacemakers, mc., a Minnesota corporation <br />("Grantor"), and the City of Arden Hills, a municipal corporation under the laws of the State <br />of Minnesota (the "City"), as Grantee. <br /> <br />RECITALS <br /> <br />. <br /> <br />A. Grantor is owner in fee simple of land located within the City of Arden Hills, <br />Minnesota, which land (the "Property") is legally described on Exhibit A attached hereto and <br />made a part hereof; <br /> <br />B. Grantor wishes to subdivide and develop the Property; and <br /> <br />C. As a condition of approval of Grantor's plat of the Property, the City has <br />required Grantor to grant to the City an easement on a portion of the Property for pedestrian <br />traffic purposes. <br /> <br />NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency <br />of which are hereby acknowledged, and the covenants and agreements hereinafter set forth, <br />the parties hereto agree as follows: <br /> <br />I. Subject to the limitations and restrictions herein set forth, Grantor hereby <br />grants and conveys to the City a nonexclusive perpetual easement to a portion of the <br />Property, legally described on Exhibit B attached hereto, and depicted on Exhibit C attached <br />hereto and made a part hereof (the "Trail Easement") for the purpose of public, nonvehicular <br />travel, and access across the Property for the installation, maintenance and repair of the Trail <br />Easement. <br /> <br />. <br />
