<br />Exhibit F: Public Trailway License <br /> <br />. <br /> <br />PRIVATE TRAIL LICENSE <br /> <br />THIS PRIVATE TRAIL LICENSE (the "Agreement'') made as of the _ day of <br />, 2003, by and between Cardiac Pacemakers, mc., a Minnesota corporation <br />("Grantor''), and the City of Arden Hills, a municipal corporation under the laws of the State <br />of Minnesota (the "City"), as Grantee. <br /> <br />RECITALS <br /> <br />. <br /> <br />A. Grantor is owner in fee simple of land located within the City of Arden Hills, <br />Minnesota, which land (the "Property") is legally described on Exhibit A attached hereto and <br />made a part hereof; <br /> <br />B. Grantor desires to grant to the City a license to use a trail on a portion of the <br />Property for pedestrian traffic purposes. <br /> <br />NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency <br />of which are hereby acknowledged, and the covenants and agreements hereinafter set forth, <br />the parties hereto agree as follows: <br /> <br />I. Subject to the limitations and restrictions herein set forth, Grantor hereby <br />grants and conveys to the City a non-exclusive license to use a portion of the Property, <br />legally described on Exhibit B attached hereto, and depicted on Exhibit C attached hereto <br />and made a part hereof (the 'Trail Area") for the purpose of public, non-motorized, <br />pedestrian recreational travel on the Trail Area (the 'Trail License''). Any use of the Trail <br />License shall be subject to reasonable rules and regulations as Grantor may impose from time <br />to time. <br /> <br />2. The License granted in Section I shall be subject to the following conditions <br />and reservations: <br /> <br />. <br />
