COMPANY PROJECT NARRATIVE

Description should include but not be limited to:

.

a. Company History.

Guidant is a world leader in the design and development of cardiovascular medical products.
Guidant's devices help patients with heart disease return to active and productive lives by
providing physicians with leading-edge technologies for improved patient management and
clinical outcomes. Guidant has also created a culture in which employees, investors and our
communities share in our success.

Guidant was incorporated in 1994, and since has grown to $3.2 billion in revenue and more
than 11,000 employees. Corporate headquarters are in Indianapolis, with major operations
in California, Minnesota, Texas, Washington, Puerto Rico and Ireland. Guidant's products
are distributed by a sales force recognized throughout the industry for its clinical expertise
and customer service.

Although a young organization, Guidant's four business groups have established track
records in their markets. Their structure provides the resources of a large organization, while
preserving the innovative and entrepreneurial environment of a smaller company. The
business groups stay close to the customer and respond quickly to evolving needs. They
advance Guidant's mission of providing leading-edge technology for physicians and life-
saving therapy for patients.

The primary business group located in Arden Hills is the Cardiac Rhythm Management
Group (CRM Group). The CRM group develops therapies to treat a range of irregular
heartbeats. The division currently produces some of the smallest, most technologically
advanced pacemakers available. In 1985, CRM also developed the first implantable
cardioverter defibrillator (ICD) to treat dangerously fast heart rhythms. The division continues
to be a market leader in ICD development. The CRM group also has operations in
Redmond Washington and Dorada, Puerto Rico.

.

b.
