<br />B. Upon termination, any and all records or property of the rcspective Cities <br /> <br />will be returned to the appropriate City within 90 days. <br /> <br />C. This Agrccment is governed by the laws of the State of Minnesota. <br /> <br />D. In the event that any provision of this Agrcement is held invalid, the other <br /> <br />provisions remain in full force and effect. <br /> <br />E. In the event ARDEN HILLS elects to tenninate this agreement, and <br /> <br />ROSEVILLE incurs rcemployment insurance or other costs attributable to the <br /> <br />termination, ARDEN HILLS shall compensate ROSEVILLE for these costs based on the <br /> <br />percentage ofthc assigned Employee's time spent on ARDEN HILLS work comparcd to <br /> <br />the total amount work pcrformed by the assigned Employee. For example, if 80% of the <br /> <br />assigned Employee's time is spent on ARDEN HILLS work, ARDEN HILLS would be <br />responsible for 80% ofthc costs. <br /> <br /> <br />5. REVISIONS TO AGREEMENT. Both parties acknowledge that <br /> <br /> <br />modifications to this Agrccment may be necessary to ensure an effcctive, on-going <br /> <br /> <br />working rclationship. To that end, ARDEN HILLS and ROSEVILLE shall use their best <br /> <br /> <br />cfforts to ensure the viability of this Agrcement into the future.
