<br />Business Points of Redevelopment Contract <br />Between the SLP EDA and Union Land II, LLC <br /> <br />The primary business points for a Redevelopment Agreement between the EDA and <br />Union Land II, LLC ("Redeveloper") are as follows: <br /> <br />. Both parties agree that the Redeveloper will be solely responsible for the acquisition of <br />the six parcels that constitute the Redevelopment Property and that the EDA has no <br />obligation to acquire the Redevelopment Property. <br /> <br />. Redeveloper is responsible for any relocation benefits that may be payable in connection . <br />with acquisition of any Parcel of the Redevelopment Property. <br /> <br />. Redeveloper will indemnifY, defend, and hold hannless the EDA and the City from any <br />and all claims for benefits or payments arising out of the relocation or displacement of <br />the lessee or any person from the Redevelopment Property as a result of the <br />implementation of the Agreement. <br /> <br />. Except for any misrepresentation or any misconduct, affirmative act or negligence of <br />the EDA or the City and except for any breach by the EDA or the City of their <br />obligations under the Agreement, redeveloper agrees to hold the EDA and the City <br />hannless from any claim arising out of the presence, if any, of hazardous wastes or <br />pollutants existing on or in the Redevelopment Property (including any asbestos in <br />the existing buildings) <br /> <br />. Developer agrees that the project will be professionally managed by a property <br />management company with substantial experience in operating mixed use <br />developments and is subject to EDA approval. <br /> <br />. Developer agrees to provide and maintain adequate pedestrian connections to nearby <br />trail and transit stops in the surrounding neighborhood to the satisfaction of the City. <br /> <br />. Developer agrees to make a lump sum up front payment to the City of $ to assist <br />with the maintenance of a traffic signal at 36th Street & Xenwood Avenue. (Let's just <br />put this in for now). <br /> <br />. Assuming all statutory tests can be met, the City agrees to modify the existing <br />Elmwood Village Tax Increment District (a Renewal and Renovation Tax Increment <br />Financing District) to assist with such activities as: building demolition; soil <br />remediation; site preparation; stormwater pond construction; utility upgrades; curb, <br />gutter, sidewalks; landscaping; and lighting. <br />
