Each party agrees that any action aris�ng out of �r i� <br />�onnection wit� th�s Agreeme�t shall �e brought solely �n th� courts of the State �f <br />�/Iinnesota, Fo�rth Judicia� Disi�ict, or the United States ��strict �ourt for th�e �istrict <br />�f Nlinnesota. <br />13.0 �vent of �efault. �'�e occurre�ce of any of t�e follovving shall be consic�ered a� <br />"event of default'� and the ter�ns and conditior�s contair�ed in t�is Agreement <br />�.. Failure �f Ar�ien V�llage to compl� w�th any of the ter�ns and �ond�t��r�� <br />contained in this Agreement; an� <br />2. Fai�ure o� Arden �illage to comply with any applicab�e ordir�ance or st�i�fie <br />�vlth resp�ct to the developr��nt of the Arden Vi�lage Project. <br />�4.0 Remedies. Upon the occurrenc� of an �vent of default, t�e City, in additio� to �r�y <br />ot�er re�nedy whic� may be available to it, shall be permitted to do any of th� <br />following; <br />1. C�ty �nay rnake advances or ta�e other steps to cure the defauit, and, �v��r� <br />n��essary, enter the �roperty for that purpose. Arden Village shal� pa�r all <br />sums so advanced, or expe�ses i�curred by tl�e City, upon demand, vvit� <br />interest from the dates of' such advances or �xpenses at the rate of 10% per <br />annum or the maxir�um amount permitt�d by lavv if less than i0%, If no <br />actio� taken by the City pursuant to this section shall be deemed to relieve <br />.�rden �illage from �uring any such defa�lts ta the extent that it is not cured <br />�y the City or fr�m any othe� default hereunder. The Cit� shal� not �e <br />obligated, by virtue of the existence or exercise of �his right, �o �erforr� ar�� <br />such act or cure an� such default. Arden Village s�all sa�e, inde�nifyg and <br />�old harmless, i�cludir�g reasonable attorney's f�es, the C�ty fro� �iability o� <br />other dan�ages whic� may be incurred as a result of �he exercise of the C��y's <br />rights pursuant to this sect�on. <br />2, Obtain an order from a Court of Competent Jurisdiction requi�ing �rde� <br />Vil�age to specifically perform its obligatio�s pursuant to the terms and <br />pro�isions of this Agreement. <br />3. Exercise any other rernedies w�ich may be a�ailable to �t, including a� a�t�o� <br />for damages. <br />4. Withhold the issuance of any building permits and/or prohibit the occupar�c,� <br />of ali building which permits have been issued. <br />5. �n addition to the remedies an� arnounts payable as set �orth herein, upor� <br />the occurrence of an event of default, Arden V��lage shall pay the �ity all ���s <br />and expenses, includ�ng reasonab�e a�t��neys fees, er�gineering �.nd <br />� <br />
