SUBJECT: Residential Curbside RecycIing — Eureka Contract Extension
Requested Action
Approve the renewal of the City's contract with Eureka Recycling far curbside recycling
services extending the current contract for an additional two years.
Background
The City has contracted with Eureka Recycling for curbside residential recycling services since
March 1, 2008. The contract provides curbside residential recycling services to most residences
in the City (Hunter Park condominiums, Parkshare Apartments, Cottage Villas, and Arden
Manor contrac�t for their own recycling services}. The current coniract is set to expire on March
1, 2011. The contract ailows for two ane-year renewal o�tions if both the City and Eureka agree
to the renewal. The current contract and first arraendment are included as Attachinent A.
The City currentiy uses two-stream recycling with Eureka Recyciing (sometinnes referred to as
duaI stream or twa-sort xecycling). Two-stream recycling requires residents to separate mi�ed
paper (newspaper, cardboard, office paper, mail, phone baoks, milk and juice cartons, pop and
beer boxes, etc) from mixed rigids (cans, glass, arid piastic). Eureka Recycling also allows
residents to recycle clothes and linens. In addition to these items, Eureka is working on
expanding the items that they collect and is hoping to add pizza boxes beginning next year.
Post consurner recycling markets plummeted in October 2008, and hii their lowest point in
January 20Q9. The drop in prices significantly affected the recycling market and caused the cost
of recycling services to rise dramatically. Due to the drop in the market, the City dzd not receive

revenue share for several months. In Jun.e 2009, the City and Eureka Recycling amended the
original contract due to a disagreement regarding the City's responsibility for pracessing fees
that were not covered by the revenue share. The autcome of the amendment restructured the
way the City was charged processing %es, expanded t�ie number of items that �lie City collected
revenue share on, and added a provision that clarified what would happen if there were a sudden
lack of market dern.and for a particular recyclable. The contract amendment did not extend
Eureka's current contract or affect the renewal options available to the City. The City has
received reveanue share from Eureka Recycling every month since tlie contract arri�ndment.
Recycling maarkets have been steadily rising since their low point in January 2049.
Revenue Share
Currenily the City pays Eureka $3.06 per household monthly to collect recycling materials.
Eureka, fn turn, processes the rz�aterials arid provides back to the City 50 percent of their after
cost revenue £ar most materials. The revenue share is used to buy down the cost of the recycling
s�rvice and directly lowers the cost per resident in the City. The cost of the recycling program is
charged back to the residents through their property tax statements. This rneans fil�at the more the
residents of Arden Hills recycle the more revenue is shared vv�th the City, which direct�y lowers
the cost oithe service for the resid�nts.
In March 2448, the City began its contract with Eureka. In nine months, the City received
$16,$32.72 in revenue share, which bro�ght the cost of the Eureka Recycling service down to
$2.00 per household. In 2009, because of ihe sit�ation with the recycling markets, the City did
nat receive revenue share for the first six months. By year-end, the City had received $3,2I.5.35
in revenue share, which brought the cost of the recycling service dou� to $2.96 per household.
Eureka did r�ot increase the cost of service from 2009 to 2a10, and so ihe base cost per household
remained at $3.06. As o�November ofthis year, the City h.as received $15,535 in revenue share
frorn Eureka. This amount has braught down the cost per household to $2.42. The recycling fee
is anticipated to increase in 2011 to $3.13 per household or by 2.4 percent, which is an increase
based on the consumer price index.
Eureka Recvclin�
The City's contract with Eureka Recycling has a.�so been environmentally benef cial to the Cit�.
Eu�eka Recycling takes more types of material than any other service provider zn ihe metro area,
and continues to work to expand the types of itezns that they collect While some recycling
service providers provide only single sort recyclin.g Eureka maintains a dual-siream recycling
program al�ovving more iiems to be recycled and increasing the quality of the materials coilected.
Higher qua.lity rnaterials mean more revenue shared with �the City. Eureka �as found that
participation rates among cities are jusi as high with a dual stream pick-up as with single sort. In

addition, Eureka Recycling has provided unique educational efforts for Arden Hills' residents
including:
• A comm�nity booth at the City's Celebrate Arden Hills fall festival
• An ar�nual Guide to Recycling mailed to residents
• Educational tagging to inform residents why a particular itern was not picked up
• An infarmation hotline serviced by environmental educators to answer residents'
questions and assist in finding expanded opportunities to r�cycle
• Annual reports detailing the City's recycling efforts
• Trucks using a 20% biodiesel blend that cuts eznissions of particulate matter,
hydrocarbons, and carbon monoxide.
Eureka Recycling also contin�.es to advance their mission of zero waste. They are currenily
working with the City of St. Paul on a five-neighborhood stud� dealing wiih the feasibility of
curbside coilection of compostable materials. The puzpose of the study is to discover ways
through which Eureka may be able to collect organic materials for compost in the fufure.
Contract Renewal
Staff has met with Eureka Recycling and discussed options pertaining to the renewal oi the
existin.g contract. Eureka Recycling has submitted a letter (Attachment B) slu�nmarizing
recycling statistics specific to Arden Hills. Their experience has been very positive in the City,
and they ha�e found that recycling rates, as well as quality of materials collected, are exfrerraely
high co�npared with other communities they serve. Eureka is interested in continuing their
contract with the City. The City has the optian of renewing the contract for either one or both
one-year options at this tim�. The City also has tl�e option of amending the e�isting contract to
extend it an additional three years. Eureka has indicated that they would be supportive of such
an amendment. How�ver, given the recent volaiility o� the market it may be prudent to re�ier�v
recycling trend,s in two years and negotiate an amendment to the contract at that time if the Ciiy
decides io do so.
Recommendatio�
Staff has contacted R.W. Beck, an environmental consultant for Ramsey County, and Ramsey
County's Environmental Health Department which coordinates the SCORE Grant program and
handles recycling programs throughout Ramsey County. R.W, Beck callects information about
recycling service providers throughout the Caunty.
They have found that recycling service prices are on the rise due to the significant dip in the
market in 2008 and 2009. Most recyciing service providers are inereasing fees as well as adding
fuel charges to their new contracts. Companies such as Allied Waste and Waste Management

are also incorparating forms of revenue share in their coniracts; however, ihe nature of the
revenue sharing with these cornpanies is designed to share the risk of a dip in post consumer
prices �rrith the cities they serve, as well as share in the revenue when prices are higher. Eureka's
revenu� share program has a floor; whereby the City would never have to pay more t�an our
basa cost if prices dropped again.
The City o� Shoreview negotiated a new recycling contract with Allied Waste in August of 2010,
whzch resulted in a seven percent increase in the cost of their recycling services. Similarly, the
City of New Brighton negotiated a new contract with Allied Waste that resulted in a five percent
increase in their service costs.
The Ciiy of Maplewood vvent out for an RFP for recycling services this year as well and received
six responses. Their current cantract with Eureka did not allow for an exten.sion of service.
Maplewood found that Eureka'� bid price was 22 percent higher than their existing contracted
price. Even with the increase in price Maplewood 5taff recommended Eureka after reviewing
the other bids; however, the Maplewood Council chose another company based an their desire
far single-sort recycling service as opposed io dual-sort.
Roseville currently contracts with Eureka Recycling and is in the process of ext�nding �heir
contract as well. As part af that process, Roseville went out for an RFP far recycling services;
they had found that the lowest bid was 12 percent Y�igher than their existing Eureka Recycling
contract and ihat the cost of recycling services had increased dramatically since their last RFP
�iree years ago. While the Arden Hills and Roseviile contracts with Eureka a�e structured
slightly di�ferently, Staff be�ieves that our current contract is very favorable compared with the
cost of service from other providers.
Staff is recommending the Ciiy Council approve both one-year extensions to the current Eureica
Recycling con�ract.

Recycling eollectior� service, together with related publ[c education and o�her customer
services, provided #o muiti-farnify residen#s t�tat uiilize rnulti-farnily recycling ca�tainers {i.e.,

In general, rr�ulti-fami[y recyciing ser�ice shall be pro�ided to MFD's with eleven ('�'[} units or
more per buiEdir�g. In generaf, MF dwe[lings with �rnro (2) to ten (10) units per buikling shafl be

as an amendmeni ta this car�tract.
4. Annual per-forman�e re�iew meeting to diseuss re�ommendations for
continuous �mRrovement
Upor� receipt Qf the Cor�tractors anr�ual repori, the Ci#y shall scheduf� ar� annual meeting with
the Contrac#or and a City's committee. The ob�ectives of this anr�uai meeting wi1E include (but
not limiiecE to):

systems without written a�proval of the City.
6. Paymen� Terms
The Contractar wifl i��oice fhe City of Arden Hifls on a mo�tY�ly b�sis and the City will pay the
contractor �o later than r��t 30 days of receipt of the invace. The �illing system will include
the folEow�ng elements:

Feb. 1 of each year what the certified nurnhe� of curbside units wii! be #or fhe subsequent

Tt�e City agrees that priees for servEce wi!! increase each year the Consurr3er Price Index for
�he Upper Midwest as determined by the FederaE Reserve Bank of Minneapolis. The City will
notify the Contraetar by the last vveek of December what the compensation rate wil� be for th�
subseque�rt cafendar year.
6.2 Materials Sales Revenue Share

Paper prices shali be hased an the {?fficial Baard Markets (OBM) "Yeliow Sheet," Chicago

50% of this OBM index for afl grades of paper collected a�er a processing fee afi $7� per ton.
6.2.2 Alurr�i�tum
AEuminum prices shalf �e based on the American Metai Market (AMM), Alurninum (1st issue
�f the mo�th}, �igh side nor�fe�ra�s scrap prices: scrap metals, domestic akumi�um
prod�cers, buying p�ices far processed used afu�rrir�um cans �r� carload lots, f.o.b. si�ippir�g
poirrt, used be�erage can scrap. The Contractar s�tal[ pay the City 50% of this ANfM

provision o� t�e coniract is in canf(ict with the re�erencec� RFP or proposal, the contract shall
take prececient.
GENERAL REQU�REMENTS FQR ALL COLLECTI�NS
The �oilowi�g general requirements are pertiner�i ta ali recyc{ing collections (i.e., �oth
euri�side recyc[ing co�lection and m�al'ti-family recyc�ing col[ection services)_ However, t�,e c�ty
acicnow�edges t�at col[ection service frequencies and otF�er factors wilf vary between

The Contractr�r s�all ha�e a duty to pick u� missed recycling colfecfions_ The Canfraetor

detaifed recycfab�es preparation instructions �or iis residenis as part of iis annual public
educafio� f�yer. However, the Ci#y agrees fo confeE with the Ca�tractor befo�'� the annual
filyer distributEo�.
13. City shall approve Contractor's public education literature
The Contractar shail ca�duct its Qwn promotions and pubtic eciucatio� to ir�crease
participation and improve co�tpliance with CFty-specified residen# preparat[�rt instruc�ions as
per fhe public education elements of th� anr�uai work plart At a minimum, this sha{i inciude:
production ar�d dist�ibution of an annuai flyer to each hotr�e; and distribution af "res[dent
educafion tags" to f�e lef� by curbside coliectior� crews i� ar�y non-targeted materiai is rejected
ar�d left at the curb_ The Contractar shal! subrr�it a draf� of any publie education literature for

The Contractor rrvil! subrnit to the City monthly reports and annual reparts. At a rriinimurn, �he

the occupa�ts of �esidentiai properties until the Contraetor handles them. Upon collection of
the designated recyclable materials by the Contracto�, tE�e reeycfable rnate�ials became the
pro��;rry a�d respons�bility of the Co�tractor.
It is �r�fawf�i for any person other than the City's recyciing Contraciar or owner's indep�nder�t
hauler to colfect, remove, c�r dispose of designa#ed re�yclab�es after the mate�ials have been
placeci or de�osited fof collection in the recycEing containers. The ovuner, owner's
emp[oyees, owner's indepenc�ent hauier's emp[oyees, or City's recycling Contractor's
ernpfoyees may not colEect or "sca�eng�" tk�rough recyc{i�g in any mann�r that interferes with
th� contracted r�cycling services.

20. Recyclab�e materials reqe�ired to be �ransported to markets; Disposat
prohib�ted
Upan ca[lection by ihe City's recycling C�ntractor, �F�e CEty's Contractor sha�t delive� the
designated recyelables ta a recyclable material processing certter, an end mar[cet for sale or
ret�se, ar to an intermediate collection ce�#er for fater deli�ery #a a pracessing center or end
market. It is ur�[awfu! for any person fo t�-ans�aorf for disposal or to dispose af designatecf
recyclabfes in a mixed municipal soEid waste disposal facility. �he Contractor shall not
kandfill, incinerate, compost or rnake f�e] peElets out of the recyclable materials.
21. Designated primary giass market
The City anci Co�tractc�r hereby agree ihaf Anchor Glass Co�p. (Shakop��:, MN} shall be the
prirnary markef af choice for glass bottles and jars collected fro� the City's recycEing
progra�. The Cor�tractor shalf develop a pFoposed glass rnarketing eontingency plan in
w�itir�g for review, camment and approval by t�e Ci�y_ This coniingency plan shall be baseci
orr recycling g�ass info marfcets with the highes� anc� best use af tF�is cammodiiy. The
Contractor shal� provide ar� an�ua! assessment of the Anch4r glass marfcet as part of its
ar�nuai repart to the City.
The Confractor shall pro�ide as mucf� notice as possibfe iF #he Anchor g[ass plant cfoses,
stops accepting recyelable glass cullet, or otherwise becomes econ�mically unfeasible as the
primary glass market o�tlet. if Anchor is no longer a viabfe primary �arket �or gfass, and if
the Contractar m�st ad�ust its glass pracessing andlor rr�arketing op�rations, the Contractor
may submit a propflsed per ton fee amendrnent to the City. Tf�is per ton �ee amer�dment
proposaf rnust iRcEude a detailed cost justifeation for any �ee increase. Once the fee
ar�endment prvposai is submitted, #he City shaEl have 3� days fo negotiate a fina� fee
amendment with #he Contractor fo� approva! by the City CounciE.
22. Processing facilities must be specified
The Con�ractor shal# assure the City that adec�uate recyclaL�le material processing capacity
wilf be provided for City materiaf colkected. The Contractor sl�alf pro�ide written notice to tf�e
City at feast 6Q days in advance o# any substantia! change ir� these ar subsequent plans fo�
receiving and pracessing recyclables coilectec� from the C�ty.
23. Estimating materials compos�tion as collected
Tl�e Co�iractar shail cancE�ct a# least one mater�afs composition a�►alysis of the City's
recyclab�es each year to estimate the relative arr�ount by weigk�t af each recyc�ab�e
cammodity by grade. The results of this ana[ysis shali include: {1) percent by weight of eaeh
recyclab{e comrr�odity by gracle as coltected from the City; (2} retative c#�ange compared to
ihe previaus year's comp�sition, anci (3) a deser�ption of the methodology used to calculate

The Cor�tractor shall record the weight and generatar for all materials entering the pracessing
facili�y an a daily, monthly and annuaf basis_ These records shall 1�e macte available ta the
Ciiy upon request_

25. Lack of adequa�e market demand
In the ever�t that #he marfcef for a particuEar recyclabl� ceases to exist, or becomes
�conamically depressed that it f�ecomes economica�ly unfeasiF�le ta co�tinue collection,
proe�ssing and marketing of that particular reeyclaf�le, the C�ty and f�►� Contractor vsriil 6oth
agree ir� writing that it is no fonger appro�riate to calfect s�ch i#em before eo�lec�ion ceases.
The Contractar s�afl gi�e the City as rr�uch r�otice as possib[e about the indications of such
marEcei condition char�ges_ The Ca�tractar may �l�en inifiate the #ar�al pro�ess by sending a
letter to the Cify noiifying the City t�at the recyclable item sho�fd be disca�tinued from
callection. Upan receipt of th� Cantracto�'s notice, t�e City s�al� �ave 30 days to review and
negotiate a contract amer�dmen# relating #o disposai o# such a recyelable commodity that
does no� ha�e adequa#e marlcet clerr�anci.
After this 30 day period, the City shall pay the costs of all dis�osaE af any iterr� coNected that
�s deemed not recyela�te by Contractor and the City due ta Eack of adeq�ate market demand
untit the City has app�-oved that callection b� discontinued for those materiais. Afte�- the City
agrees ta ciiscorrtin�e callection of thos�: rr�ater�als, fhe Contractor is responsible �or the costs
of alf dispasat of a�y item collected that is deemed not recyclable by Contracfor and the City
cfue to lack of adequafe market demand. The City and Corztractor shall specifjr a date in this
writter� contraet amendment to cease cofleetion of the recyciable item ir� guestion. The
Cor�tractor shalt at all times be under a duty to minirnize recyciables ending up i� la�dfil� or
clisposal at ather facilities receivi�g mixed municipaE solid waste_ If disposa! of any recyelal�le
comr�odi#y becorr�es r�ecessary, upon receiving written perrnission from th� City, the
Cor�tractor shalf dispose af the recyckaf�le ma�erials ai a faci{ity specified in v�rriting by th� City
or an alternative agreed �pQn by the City ancf if�e Car�traetar.

28. licenses and Permits
The Contractor shaEl ensure that atE driver and tr�ck iicenses a�d permiis sha�l be c�arrent and
in full campliance with Iocal, state and federal �aws a�d regulations. Any processing facifity
useci ta handle material �ram the City of Arden HiiEs r�ust have current permits a�d �ice�tses
as required by the appropr�ate city, counfy, state and federaf faws and ardinanc�s. Gontractor
shall maice a�aila�le for ir�spection ail s�ch licenses and perrnits �pon r�quest by t�e City.
Z9. Performance monitoring
The City wi�l monitac th� performance o# t�e Contractor against goais and perFormance
standards required within fhis the ar�d in #he car�tract. Substandard perforrnance as
determined by the City will eons�i�ute n�r�-compiiar�ce. If actior� �n correct such substandard
performance is not taEcen by the Ca�tractor within 60 days after being notified by the Ciry, the
Cify wi�l ini�iate the cont�act termina#ion procedures.
30. Liquidated damages
The Contractor shafl agree, in addition to any other remedies a�ailable to the City, that the
City rr3ay rrv�#hhold payment from the Contractor ir� the amounts specified below as liquidated
damages for faifure of the Co�rtracior to fulfilE its ai�Eigations:

dar�aged by t�e Contractar. Sueh praperiy damage sha�l be addressed for re�air ar
repEacement, at no charge fo �he property owner, within forfy-eight (48� hours wi#F� property of
the same or equivaler�t vafue at t�e time of tf�e damag�_
If the Contractor fails to adctress the repair or r�:placement damaged property within forty-
eight (48� ho�rs, the City may, but shall nat be Qbliga#ed ta, repair or replace such dar�aged
property, and the Cantractor sha![ fully reirnburse the City for any ofi its reasQr�abEy inc�trred

32. Recycling Col�ection

fnsurance secured by the Contfactor shalf #�e issued by insurance companies acceptable to

inst�ra�ce, prirnary or excess. Such insurance shalt be ir� force on the date of executian of

Contraeto� shall have the City of Arden Hills r�amed as an addifional insured on each

omission, neg�ect or b�each of duty. The insurar�ce policy provides $1,000,040 each
occurrenc� and $1,qQa,�Oa aggregate limit of liabifity for each year.
Acceptance af the ir�s�rance by the CGty shall not relieve, limit or cfecrease tf�e liability of the
Contractar. Any policy deductibles or rete�tion s�ali be �he responsi�ility of fhe Contractor.

The Contractor sha[! not assign arty in�erest in the contract, and shaif not trar�sfer any interest

approval a# if�e City_ Failure to abtain such written approva! by tF�e City priar ta any such

4�, Non-Assigr�a6ility and Bankruptcy
The parties hereby agree that ti�e Coniractor shall have no right to assign or trans�Fer its rights
and afi�ligatior�s under saic# agreement without writter� approva[ frorn th� City. In the eve�i, the
Contractor, its successors or assigns files for Bar�kruptcy as provid�d by federaf Eaw, this
agreement shail be immediately deemed null and void relie�ing a�� parties of their contract
rights a�c� obligations.

The Contracior pays its empioyees a prevailing wage based an the recycling industry in tf�e
state of Mirtnesafa and Henr�epi� County. The Corttractor does not use terr�Porary labor
arrangemenfs ta avoid paying a living wage. AI� of our �mpioyees, permanent and temporary,
receive a payehack t�at meets or exceeds living wage standarcfs. Addit�onally, the con�ractor
p�flvides heait� insurance for afl fuil�ime emplayees and a pro rata sf�are for empEoyees
working more #han 20 hours bui iess than 4� ho�rs a week.
44. Independent contrac�vr
Nothing co�tained in �his agreeme�t is intended to, or shal[ be construed in ar�y manner, as
creating or estaf�l�shing tk�e relationship of employerlemployee �etween the parti�s. The
Contractor sha11 a� aEl times remain an i�ciependent Contracfor with respect to the services to
be performed ur�der this Contract. Any and a11 employees of Contractor ar ather p�rsons
engaged in the performance Qf any work w s�rvices requir�d by Gontractor und�;r i�is
Contracf shafl be considered employees or sub-contractors of the Cor�tractar only and not of
�he City; and any anci a�l cla�rr�s that might arise, inc�ud�ng Vllorker's Compensatio� c�airns
under the WorEcer's Compensation Act of the State o� Mi�nnesota or any other state, on bef�alf
of said �rri�toyees ar Qther persans while so er�gaged irt any of the work or services provided

45. Hold harmless

provided by this contract, any res�ltir�g environmen�al IfabiEity that ts a result of #his contract or

tl�e Gity deerr�s necessary, tr� audit, examine, and rnake excerpts or transcr�pts af all relevant
data.
5Q. Applicable law
The [aws of the State of Minnesota sE�ail govern all interpretations of this contract, and the
appropriate venue and jurisdictit�n for any li�igation which rr�ay arise hereunder will be irr
those courts lacated within tf�e County o� Ra�nsey, State of Nlir�nesota, regardless of the
place of i�usir�ess, residence or incor�oration of #he Cantractar.
5�. Contract terrnination
The City may car�cef the Contract if the ContracfQr fails to ft�lfill ifs obligatiQns under the
Cor�tracf in a�roper ar�d ti�nely manner, or otherwise �iolates the terms of the Co�tract if the
defauEt has not been cured after 6p days writte� notice has beer� provicled. The City shall pay
Contractor a[I compensation earr�ed prior to the date of termination min�s any damages and
costs ir�curred by the City as a result af the breach. �� ih� canfract is canceE�d or terminated,

and th� c�ty_ �7v e have �ad over 340 conversations tu�th Arder� Hitls reside�ts througl� our zero-
waste hatline. i�z acidition to the annual guicEe to recyc3.ing that ��ve rnail each December to every
householc� in the city, vve have received requests from residents for an a�.ditional 45 pieces o�'
educa�iar�ai irzformat�on.
�ur recycli�zg co�ection drivers have left or�eF �,5Q0 educational tags rig}�L zn residenCs' recycliag
bins to help educate them directly abot�t how to sort t�eir nxaterials and about what is recyclable
in Arden Hi�'s zecycling progra.rn_ For residents who do not use recyciing E�ins, we rnaited over
�00 postcards to tI�ose �vho needed addationat info�na�ian about partidpating in the recyeling
program. Tl-€is direct educataon is the most efficient and eosr effeceive way to help residents fulIy
understartd eheir recycling program_
Eureka Recyc�ng was the first orgaz�ization in the state to offer eael� crty ti��e serve a share of the
zevenue made frorcz the sale of recyclable material ser aut by city residents. Even in tl�e dif�cuit
economic times e�pe�ienced in the Ias� few years, Arden Hills receiaed reven�e �ack fram tt�e
sale oimateria�. In the very di#�icuIt pear of 2Q09, Arden Hi�ls received $3,325 in rever�ue skzare.
Since the beg�in�ing of or�r contract, the ciEy has received over $3a,000 in revenue

best in the state. T�e residual rate (amonnt o�' �aon-recyclabt� material beipg c�l�ected at
t,he c�xrb) in Arden Hilis in 2009 was 0.09%. Thae rneans t�at less than one tenth of ane
perce�.t o£what residen.ts set out at the curb is nac recyclabie. ln pro�rams in other cicies tha� do
not partner wi�h Eureka Recycling that �umber can be as hzgh as 10-15%. Th�s achievement is a
res�lt of the education and o�dreach that Eurelca Recycling ar�d tl�e city have done to help
residents understa�zd their pro�am and the benefits of their pa�cipation_
