SUSJECT: Amendment #$ to the TCAAP Property Offer To Purchas�
BACKGROUND/DISCUSSION
The cuzxent TCA.AP property Offer To Purchase indicates the parties wiil reach agreement on the
Purchase Price Caredit by September 1, 2008. Ita May of 2008, an updated sck�edule was provided
to the Army and GSA showing the steps necessary far determining the Purchase Price Czedit,
and �etting out a timeline for reaching agreement on the Purchase Price Credit. The updated
schedule reflected a daie of August 28, 2009 far reaching agreernent on the Purchase Price
Credit.
Prior to Septernber 1, 2008, it is necessary to amend the Offer To Purchase to change ihe date
regarding the �'urchase Price Credit. The attached amendmeni #8 to the Offer To Purchase
reflects the date of Septe�xaber l, 2p09 for reaching agreement on the Purchase Price Credi�.

This confirms our agree�nent to create an Eighth Amendment to the 4ffer to Purc�►ase, dated
August l, 2006, as amended to date.
1. Tne Iasi sent�nce in subparagraph (e} under paragrap� 5 of the Seventh Amendment
to the Off�r to Purc�ase is amended by changing it to read as fo��ows:
"Also, if by Septernber 1, 2009, the Purchaser and the Government have not reached
agreement an the Purchase Price Credit and all of the terms of the Financia� Assurance, then the
�'urchas�r has the right to rescind this Offer, whether �efore or after ihe Government has accepted
the Offer, and the Government shall retu�-n any earnest money paid up untii the date of rescission."
2. All other terms and conditions of the Of#'er to Purchase as am�nded to date, excepi
�ose amended or clar�fed by ��is ietter, shall remain in full farce and effect."
Upon concurrence, the Ci#y requests t�at this letter be attached ta the Offer to P�.�rchase as an
amendrt�ent.
