Recommendation:
It is recommended that the City Council approve a motion approving the consulting contract

SUBJECT: Hill Capital Strategies, Inc.
Background/Discussion
In spring, 2011, the City hired Hill Capital Strategies, Inc. to monitor stadium activities at the
regular session of the State Legislature. At the October 24, 2011 wark session, under the
TCAAP/Stadium agenda item, the Council' discussed, and was in general agreement, that it was
in the City's best interest to again hire Hill Capital Strategies, Inc. as the Vikings stadium
proposal is possibly moving forward this fall. In this regard, staff has met twice with Todd Hill
to discuss contract terms and conditions. Attached for your review and consideration is a weekly
contract for consulting services that is subject to revisions if a special session takes place. The
proposed fee of $1,200 per week is the same as the amount negotiated in the contract this past
spring. Approval of this contract gives staff clear direction to promote the Arden Hills site for
the stadium proposal.
Recommendation
It is recommended that the City Council approve a motion approving the consulting contract
between the City and Hill Capital Strategies, Inc.
CONTRACT FOR PROFESSIONAL SERVICES
This "AGREEMENT" is entered into this November 1, 2011 by and between HILL CAPITOL
STRATEGIES, INC. and THE CITY OF ARDEN HILLS.
SERVICES: The City of Arden Hills engages the services of Hill Capitol Strategies, Inc. as an
independent contractor to perform state government affairs services far The City of Arden Hills.
Hill Capitol-Strategies, Inc. agrees to perform the following legislative monitoring services:
1) Monitor the legislative process and alert The City of Arden Hills of newly introduced
or pending legislation and hearings relevant to the concerns of The CiTy of Arden
Hills;
2) Provide Representation before the state legislature, executive branch and state
agencies on issues related to the proposed Minnesota Viking's Stadium;
3) Report to The City of Arden Hills in a timely and regular manner on the progress of
activities performed on behalf of The City of Arden Hills;
4) Comply with all requirements of the Minnesota Campaign Finance and Public
Disclosure Board;
5) Work with The City of Arden Hills to develop and implement effective lobbying
strategies to achieve the desired policy results of The City of Arden Hills;
6) Facilitate any introductions and/or meetings between The City of Arden Hills
employee(s), member(s) and necessary policy makers;
7) Identify for The City of Arden Hills research, written material, and expert testimony
necessary to effectively advocate The City of Arden Hills's position on issues having
an impact on The City of Arden Hills;
8) As needed, attend any outside meetings or briefings at the request of The City of
Arden Hills;
9) Provide assistance to The City of Arden Hills in the drafting of any legislation they
seek to pursue.
The City of Arden Hills and its designated employees agree to:
1) Develop legislative priorities regarding the proposed Minnesota Viking's Stadium
and keep Hill Capitol Strategies, Inc. informed at all times of these priorities;
2) Provide research and prepare all written materials which The City of Arden Hills and
Hill Capitol Strategies, Inc. determine to be necessary to advocate the position of The
City of Arden Hills on issues related to the proposed Minnesota Vikin�'s Stadium;
3) Comply with all of the requirements of the Minnesota Campaign and Public
Disclosure Board regarding lobbyists and lobbying activity.
FEES AND TERMS OF THE AGREEMENT
Hill Capitol Strategies, Inc. shall be paid a weekly retainer of $1,200 for lobbying
services for the term November 1, 2011 to May 31, 2012 or the official end of the 2012
Legislative Session. The retainer will be due to Hill Capitol Strategies, Inc. two weeks
after receipt of each invoice.
The ageed upon terms will be renegotiated in the event a Special Session is called, prior
to the beginning of the 2012 Legislative Session.
Extraordinary expenses shall be incurred only with prior authorization of The City of
Arden Hills and reimbursed as an additional cost to this agreement.
CONFLICTS OF INTEREST
This agreement is for the non-exclusive use of services provided by Hill Capitol
Strategies, Inc. Nothing contained herein shall prevent Hill Capitol Strategies, Inc. from
contracting to provide lobbying or other services to any clients when such other lobbying
or service is not in conflict with the role or legislative priorities on behalf of The City of
Arden Hills. Hill Capitol Strategies, Inc. shall keep The City of Arden Hills informed of
its current client list. In the event that a conflict of interest arises on an issue of interest
between The City of Arden Hills and another client of Hill Capitol Strategies, Inc., The
City of Arden Hills shall be promptly notified and the parties shall determine whether
representation of one or the other client must be withdrawn. Hill Capitol Strategies, Inc.
shall make every effort to provide continued satisfactory representation of The City of
Arden Hills.
THIS AGREEMENT HAS BEEN EXECUTED ON BEHALF OF THE PARTIES ON
