Page 1 of 1 AGENDA ITEM – 1A MEMORANDUM DATE: September 17, 2018 TO: Honorable Mayor and City Councilmembers Dave Perrault, City Administrator FROM: Jane Kansier, Planning Consultant SUBJECT: Concept Plan Review – Parkshore Drive Budgeted Amount: Actual Amount: Funding Source: N/A N/A N/A Background A concept review plan gives an applicant the opportunity to present a tentative site plan and receive feedback and thoughts prior to developing final plans for a site. The site at Park Shore Drive is a 5 acre vacant site. It is currently zoned R-1. Summit Development has met with City Staff about the possibility of developing the site as a Senior Home Residential facility. They will present their concept plan during the workshop. Next Steps Pending feedback from councilmembers, Summit Development may pursue a Comprehensive Plan amendment, Zoning Ordinance amendment and site plan review for the Senior Living Facility Attachments None Page 1 of 3 AGENDA ITEM – 1B MEMORANDUM DATE: September 17, 2018 TO: Honorable Mayor and City Councilmembers Dave Perrault, City Administrator FROM: Jane Kansier, Planning Consultant SUBJECT: B-2 District Design Standards Budgeted Amount: Actual Amount: Funding Source: N/A N/A N/A Background At the Work Session meeting on June 18, 2018, the City Council discussed setback requirements for buildings and parking lots in the B-2 District. The B-2 District is generally located along the County Road E corridor between Highway 51 and Lexington Avenue North. For new development in the B-2 District, the Zoning Code currently requires buildings to be located along County Road E and parking to be located behind buildings. The City Council directed staff to bring forward possible changes to the design standards that would allow for more flexibility in the placements of buildings and parking in the B-2 District. The City Council also requested that the façade transparency requirements also be reviewed. It should be noted the additional design standards for the B-2 District included in Section 1325.05, Subd. 8 of the Zoning Code also apply to the B-3 District. Any changes made to these design standards would also apply to new development and redevelopment in both the B-2 and B-3 Districts. The B-3 District is generally located along the west side of Lexington Avenue from County Road E to I-694. The B-3 District also includes several properties on the north side of Red Fox Road and on the south side of Grey Fox Road in proximity to Lexington Avenue. Discussion Building Setbacks Section 1320.06 of the Zoning Code establishes the minimum structure setback requirements for all zoning districts. In the B-2 District, the minimum front yard setback for principal buildings is 20 feet. This provision allows for buildings to be situated closer to County Road E and other public Page 2 of 3 streets in the district. Staff has proposed revising the front yard setback requirement to 50 feet. This setback would be consistent with the front setback requirement for properties in the B-3 District. In addition, the design standards for the B-2 and B-3 Districts (Section 1325.05, Subd. 8) require that at least 50 percent of the largest building on each site be constructed at the front setback line of 20 feet. This requirement can be seen in how the Walgreens, Tavern Grill, and Goodwill sites were redeveloped. Staff has proposed removing this requirement from the design standards. This would give developers more flexibility in the placement of buildings on a site, provided that all other structure setback requirements are met. Parking Setbacks Section 1325.06, Subd. 1 of the Zoning Code requires off-street parking in all districts be located a minimum of 20 feet from the right-of-way line of any public street. The B-2 and B-3 District design standards include the following two requirements on the location of parking: • Placing parking between the street right-of-way and a building shall be discouraged • No more than 50 percent of the parking on a site may be between buildings or in the side yards Staff has proposed removing both of the parking setback requirements listed above. This would allow a developer to place parking between the building and the street right-of-way. Parking areas would still be required to be setback a minimum of 20 feet from the right-of-way. Façade Transparency The B-2 and B-3 District design standards include façade transparency requirements for commercial and residential developments. For commercial developments, 50 percent of the first level building facades that front a public street are required to be comprised of transparent windows or doors. For facades reasonably visible from the right-of-way, 20 percent transparency is required. Residential buildings are required to provide 20 percent transparency for all façades that front a public street. The City may consider reductions to the transparency requirements in cases where there are privacy concerns, or if additional transparent glass is used on other sides of the building. One of the issues that has come up with new development and redevelopment in the B-2 and B-3 Districts is that because of the building and parking setback requirements, some buildings have been oriented so the back side faces the public street. This has presented challenges for developers meeting the 50 percent façade transparency requirement since the back side of the building is typically where storage, mechanical, and service uses are located. If the City Council decides to change the building and parking setback requirements, staff expects there to be fewer issues with this design challenge. Staff would recommend continuing to require commercial buildings to have 50 percent transparency on the first level façades that front a public street, but that the 20 percent transparency requirement for façades reasonably visible from the right-of-way be removed. Staff is also recommending that the provisions on window configuration and materials be removed. These are very detailed design standards that are better addressed by the Building Code… Page 3 of 3 Next Steps Staff is requesting feedback from the City Council on the following questions: 1. Does the City Council support the proposed changes to the building and parking setback requirements for properties in the B-2 District? 2. Would the City Council like to see any changes to the façade transparency requirements? Based on the direction provided by the City Council, staff will schedule the required public hearing for the amendments at the next available Planning Commission meeting. Attachments A. Major drivers of budget changes from 2018 to 2019:• Legislature change - county portion of PERA rates increases 1.5%. The increase will be phased in over a 2-year period (2019 & 2020). Omnibus Retirement Bill (SF2620).• Deputy Union contract issued a 3% wage increase in both 2019 & 2020. (page 7)• Hired an additional Investigator increasing salary, benefits, and overhead charges (page 12)• Equipment increased in 2019 primarily due to the following items: (page 17)• Added an additional vehicle bringing the vehicle acquisitions from 6 to 7.• All Liability insurances were calculated with the equipment cost control since the insurances are associated and applied with the individual squad cars.• Uncontrolled garage/shop labor rate increase of 30%• Traffic cost control increased due to additional traffic vehicle acquisition. (page 14)• Note the completion of 5 years of allocated payments for TicketWriter process.• Consistently breaking out Salaries, Fringe & Employee related costs across all cost controls allowed us to allocate the costs more accurately. Specifically, some of the amounts for overtime and benefits were lumped in with salaries, and were not allocated to the accurate cost controls. Correcting this resulted in a decrease in Animal Control from 2018 to 2019. (page 15)• In 2018 Falcon Heights was not included in the allocation of Equipment nor Property Asst. costs as they were directly charged their vehicle separately.• In 2019, Property Asst. & Equipment costs will now be allocated and charged to all 7 contract cities (including Falcon Heights). The addition of Falcon Heights results in a decrease in Property Asst. costs from 2018 to 2019 for the other 6 cities (Arden Hills, Little Canada, North Oaks, Shoreview, Vadnais Heights, & White Bear Township)• Falcon Heights, please note the increase from 2018 to 2019 is more along the lines of 10.13% vs 16.78% when taking into account the 2018 independent payment of the vehicle. Zoning Code Section 1325 – General Regulations Adopted: November 13, 2006 Page 1 of 9 Chapter 13 – Zoning Code Section 1325 - General Regulations 1325.05 Design Standards. The standards established in this section are designed to encourage a high standard of development by providing assurances that neighboring land uses and neighboring properties will be compatible. The standards shall also apply to all future development and shall apply to existing development where so stated. Before any applications for development or construction under the City Code are approved, it shall be determined that the proposal will be in conformance with these standards unless a deviation has been granted. It shall be the responsibility of the applicant to demonstrate such conformance. (revised 4/28/08) Subd. 8 Additional Design Standards for New Development, Redevelopment, and Modifications to Existing Sites in the B2 and B3 Districts. (revised 12/17/08) Unless preempted by the standards in this section, all other zoning provisions shall apply: A. Purpose and Intent. The purpose of these additional design standards is to promote a high level of architectural, landscaping, and site design in the business districts of Arden Hills. The City seeks to create a unified, harmonious, and high-quality environment to foster a distinct, positive, and successful image for the City. The criteria by which new development, redevelopment, and site modifications in the Districts shall be judged are as follows: 1. Consistency with provisions of the comprehensive plan and other guiding plans as amended from time to time; provisions of the zoning ordinance and subdivision ordinance; and all other applicable regulations. 2. Use of appropriate materials, lighting, textures, colors, and architectural and landscape forms to create a unified, high-quality design concept for each site that is compatible with adjacent and neighboring structures and functions. 3. Creation of unified site designs, each with a sense of internal order, that provide desirable environments for site users and visitors and the community as a whole and that consider all site elements. 4. Provision of safe and adequate access from public streets to sites giving ample consideration to the location and number of access points, the safety and convenience of merging and turning movements, and traffic management and mitigation. 5. Provision of on-site vehicular, bicycling, and pedestrian circulation by way of interior drives, parking areas, pathways, and walkways adequate to handle anticipated needs and to safety buffer pedestrians and cyclists from motor vehicles. Ample consideration shall be given to the width of interior drives, internal traffic movement and flow, City of Arden Hills Chapter 13 Zoning Code Section 1325 – General Regulations Adopted: November 13, 2006 Page 2 of 9 separation of pedestrian, cycling, automobile; and delivery traffic, and the safe, convenient, and practical arrangement of parking spaces. B. Application. The standards in this Section should apply only to the building or site elements being developed or altered (i.e. a proposal for changes to a building would be required to meet only those standards that pertain to buildings while changes to a parking area would be required to meet the standards for parking areas but not for buildings). The design standards shall be applied proportionately to the degree of change proposed. Upon recommendation from the Planning Commission, the City Council may waive specific design standards based on the scale of the project. The City Council shall make the final determination on the compatibility and consistency with the design standards. C. Architectural Style and Building Character. Evaluation of a project shall be based on the quality of its design and on its relationship to its surroundings. Site characteristics to be evaluated for this purpose include, but are not limited to, building and landscaping materials, colors, textures, shapes, massing, building components, height, roof-line, and setback. Monotony of design, both within projects and between projects and its surrounding, is prohibited. Variation in detail, form, and arrangement shall provide visual interest. (revised 11/25/13) D. Building Materials. Buildings shall be constructed of materials that are enduring, timeless, and well-detailed. Other new materials of equal or better quality to those listed may be approved by the Community Development Department. (revised 11/25/13) 1. At least seventy-five percent (75%) of the exterior building materials shall be of brick masonry, tile masonry, natural stone (or synthetic equivalent), decorative concrete plank, transparent glass or any combination thereof. (revised 11/25/13) 2. Trim and other accent or decorative features may be metal, wood, split faced block, EIFS, or stucco. Metals shall have a matte finish and have visible corner moldings and trim when used on exterior walls. EIFS shall be located at least twelve (12) feet above the ground line. (revised 11/25/13) 3. Undesirable materials shall include simulated brick, vinyl or aluminum siding, sheet or corrugated metal siding, plain concrete blocks or panels, brightly colored metal roofing or canopies, pre-cast tilt-up walls, mirrored or reflective glass, and materials that represent corporate colors or logos not in conformance with approved building materials. (revised 11/25/13) E. Building Design. The arrangement, massing, materials and colors shall work to create a high quality development that is responsive to City of Arden Hills Chapter 13 Zoning Code Section 1325 – General Regulations Adopted: November 13, 2006 Page 3 of 9 existing buildings, site features, and site design on adjoining sites in the district. (revised 11/25/13) 1. At least fifty percent (50%) of the largest building on each site shall be constructed at the front setback line. 2. Façade treatment shall be carried around all sides. Architectural elements such as, but not limited to, windows, shutters, awnings, doors, masonry exterior veneers, cornice detailing, window casings, and other architectural details should demonstrate consistency on all sides of the structure that are reasonably visible to the general public. Plain flat walls shall not be permitted when viewable from the public right-of-way or public areas. 3. To avoid long unbroken expanses and to increase visual interest from the street, buildings of more than 40 feet in width shall be divided into smaller increments (between 20 and 40 feet) through articulation of the facades to convey the impression of individually-constructed small storefronts or, in the case of housing, housing units. This can be achieved through the combination of the following techniques: a) The use of windows and doors; b) Façade modulation—stepping backward or forward or extending a portion of the façade; c) Vertical divisions into storefronts with separate display windows and entrances; d) Recesses and projections such as porches, dormers and bays that create shadows and add visual interest; e) Variation in the rooflines by using multiple roof and ridge lines perpendicular to one another, offsetting single roof lines, stepped roofs; f) Providing a lighting fixture, trellis, tree, or other landscape feature with each interval. 4. Awnings or overhangs shall be provided at the primary entryway and at all entrances fronting a public street to provide protection for pedestrians. Awnings shall be opaque so as not to create a glowing effect with lights under the awnings. Awnings shall be constructed of durable and protective material, and shall be properly maintained. Plastic or fiberglass awnings shall not be permitted. (revised 11/25/13) 5. Any multi-level building shall distinguish the ground floor level from the upper floors by use of any or a combination of these techniques: an intermediate cornice line, difference in building City of Arden Hills Chapter 13 Zoning Code Section 1325 – General Regulations Adopted: November 13, 2006 Page 4 of 9 materials or details, awnings trellis or arcade, special window details, or brick corbels or quoins. A strong base and top for multi-story buildings shall be established; middle layers shall be simpler. Detail shall be an integral part of the architecture rather than a series of applied elements. 6. Standardized corporate or franchise architecture identified with a particular chain shall be discouraged unless it is compatible with surrounding architecture and conforms to these design standards. (revised 11/25/13) 7. Entrances shall have convenient access to the street frontage and to parking serving the use. For those properties along County Road E, access to the street frontage shall be given priority where feasible. F. Window and Door Openings. (revised 11/25/13) 1. Commercial Façade Transparency. a) Fifty percent (50%) of all first level building façades that front a public street shall be comprised of transparent windows or doors in order to allow views of interior uses and activities. Transparency requirement may be waived by the City where privacy concerns warrant. (revised 11/30/15) b) Twenty percent (20%) of all other first level building facades that are reasonably visible from the public right of way shall be comprised of window or door openings. Simulated or opaque windows may be used on service areas. (revised 11/25/13) c) If the building is a one story design and the first floor elevation exceeds twelve (12) feet, then only the first twelve (12) feet shall be included in calculating the façade area. (revised 11/25/13) d) The City may consider a proportional reduction in the transparent window and door requirement on the public street façade if additional transparent glass is used on the remaining sides. (revised 11/25/13) 2. Residential Façade Transparency. Twenty percent (20%) of all residential building façades that front a public street shall be comprised of transparent windows or doors in order to allow views of interior uses and activities. Transparency requirement may be waived by the City where privacy concerns warrant. (revised 11/30/15) 3. Configurations. The shape, size, and placement of windows and doors shall emphasize the intended organization and articulation of the façade. Windows and doors shall be recessed at least one City of Arden Hills Chapter 13 Zoning Code Section 1325 – General Regulations Adopted: November 13, 2006 Page 5 of 9 inch rather than being flush with the building façade. (revised 11/25/13) 4. Materials. Acceptable materials for window trim include anodized aluminum, steel, wood, and clad wood. Door trim shall be made of steel, wood, or clad wood. (revised 11/25/13) 5. For buildings with a use or function that does not readily allow windows (e.g. cooler or freezer areas, mechanical rooms, security areas, storage areas) the transparent window standards may be reduced at the discretion of the City Council. However, aesthetic interest must be provided by the use of upper level windows or architectural detailing that provides arches, patterning, recesses, and shadowing. Architectural detailing may include such things as change in materials, change in color and other significant visual relief provided in a manner or at intervals in keeping with the size, mass, and scale of the wall. (revised 11/25/13) G. Building Color. Building colors shall be muted. Recommended colors include browns, grays, tans, beiges, and dark or muted green, blues, and reds. Bright or brilliant colors and sharply contrasting colors may be used for only accent purposes occupying a maximum of five percent (5%) of building façades. (revised 11/25/13) H. Fences. Fences shall blend into the landscape, be compatible with other materials used on site, and be made of a material that minimizes corrosion. Finished and treated wood, brick, stone or wrought iron is encouraged. I. Signs. 1. Business signs shall be architecturally compatible with the style, materials, colors and details of the building. Signs shall be incorporated into the façades of the buildings rather than extending past the roof line and should not project more than twelve (12) inches beyond the plane of the façades. Retail business wall signs shall be located in a position above the front window that is located consistently among stores. (revised 11/25/13) 2. All other provisions in Chapter 12, Sign Code, shall apply. J. Site Furnishings and Seating Areas. 1. Site furnishings shall be provided based on the scale of the project. The site furnishings may be spread out on the site or clustered to provide a more formal area. Placing site furnishings near landscaped areas is encouraged. These areas may be shared by multiple tenants on a property or adjacent properties and may include tables, chairs, benches, plantings, and other outdoor amenities such City of Arden Hills Chapter 13 Zoning Code Section 1325 – General Regulations Adopted: November 13, 2006 Page 6 of 9 as a plaza. These areas shall be maintained for year round use. Creativity is highly encouraged. These spaces shall be connected to the sidewalk system. 2. Benches and decorative plantings shall be provided near the primary entrance of all buildings on a site. 3. Restaurants shall include a functional outdoor seating area with tables, chairs, plantings, and access to the restaurant. a) No outdoor seating shall be permitted in any portion of the public sidewalks where normal pedestrian traffic flow is obstructed. b) The outdoor seating area shall not be used for exterior storage when the area is not in use. (revised 11/25/13) c) These areas shall be distinguished with decorative fencing and/or plantings. K. Screening. 1. Trash and recycling equipment, materials, and containers shall be fully enclosed and integrated into the architecture of the buildings. 2. All mechanical equipment, whether roof-mounted or ground- mounted should be integrated into the architecture of the building. It shall be completely screened from the ground-level view of adjacent properties and public streets. Wood screening shall not be permitted. 3. Truck docks and delivery areas shall face away from the public street and shall be integrated into the architecture of the building. L. Landscaping. A minimum of one tree shall be placed along the right- of-way every forty (40) feet. The tree shall not interfere with the roadway and shall be on private property. (revised 11/25/13) M. Parking. 1. Placing parking between the street right-of-way and a building shall be discouraged. 2. No more than fifty percent (50%) of the parking on a site may be between buildings or in the side yards. 3. Sufficient parking shall be provided to accommodate the reasonable hourly peak on a given site. Shared parking is encouraged to reduce land devoted to parking. Hourly variations City of Arden Hills Chapter 13 Zoning Code Section 1325 – General Regulations Adopted: November 13, 2006 Page 7 of 9 among different types of land use may be considered when estimated parking demands. 4. Plantings shall be used to soften and shade parking lots and parking structures. Parking adjacent to streets should be screened from view with landscaping, including but not limited to trees, hedges, flowers and other bushes and/or decorative masonry walls. Berms shall be discouraged. (revised 11/25/13) 5. Parking lot islands shall be used to distribute large parking lots into separate areas. Parking lot islands shall be planted with trees or include infiltration basins and plantings. Entry drives shall be defined by trees and shrubs. (revised 11/25/13) 6. A concrete curb shall be provided around the periphery of all parking lots and access roads, except where the City Engineer determines that a curb would impede drainage. 7. Parking structures that are visible from off the site shall display an integration of building materials, form, and colors with the principal building. No signs other than directional signs shall be permitted on parking ramp facades. (revised 11/25/13) N. Traffic Study. A traffic study shall be required for all new developments, redevelopments, and significant modifications to existing sites unless waived by the City Council. O. Lighting. Exterior lighting shall be provided for the safety and convenience of occupants and visitors. 1. A lighting plan shall be submitted that shows location, type of illumination and design. A photometric analysis of site and building shall be submitted for City approval with all new construction or redevelopment projects. 2. Exterior lighting shall be consistent in type, design, scale, and color to create unity in the Districts. High-pressure sodium lighting and other similar types of lighting color may be required by the City to promote a unified lighting color throughout the Districts. Other lighting colors may be considered during the City review process. 3. Exterior lighting for parking lots and buildings shall not be excessive and shall be directed at their intended purposes. 4. Lighting under a gasoline station canopy shall not be directly visible from the street but shall be recessed into the canopy or otherwise shielded. Light washing of buildings and accent lighting may be permitted through the City review process provided that it does not negatively impact residential areas or traffic safety and is complementary to the district as a whole. P. Pedestrian and Bicycle Circulation. Pedestrian and bicycle improvements shall be installed in accordance with the City of Arden Hills Comprehensive Plan and the local guiding plan and shall be in conformance with the following: 1. Site design shall facilitate pedestrian connections and mobility within and between buildings, sites, and uses by providing clear visual indicators through door placement, signage, striping, raised pathways, and integrating landscaping components. (revised 11/25/13) 2. An internal sidewalk system shall link the primary entrance of each building on site with the public sidewalk or trail network. In the event a building is subdivided into multiple separated tenant spaces, a sidewalk must link the primary entrance of each separated tenant space with the public sidewalk network. (revised 11/25/13) 3. Where there is new building construction or renovation where the renovation value is thirty percent (30%) or more of the pre-renovation value of the structure, a minimum six foot concrete sidewalk adjacent to or in all rights-of-way shall be provided. The location of the sidewalk shall be prescribed by the Public Works Director. The new sidewalks shall connect to sidewalks on adjacent properties if they exist. At the discretion of the City Council, the property owner may, in lieu of constructing the sidewalk, pay the City an amount equal to the cost of constructing the sidewalk to satisfy the obligations of this section. Said payment shall be used by the City to further maintain and construct the pathway system within the City. (revised 11/25/13) Q. Bicycle Parking. (adopted 11/25/13) 1. General Requirements. a) Bicycle parking may be provided using the following approaches: bicycle racks, bicycle lockers, or bicycle parking stations. b) Bicycle racks must support a bicycle frame at two locations and enable the frame and one or both wheels to be secured. The City requires that bicycle racks meet inverted “U”, ring-and-post, or comparable design standards. c) Bicycle racks or lockers must be securely anchored to a level, concrete or pavement surface. Bicycle parking shall be located in a safe, designated area and should be within fifty (50) feet of the primary building entrance. Bicycle racks shall be visible either from within the building or the public right-of-way. 3. Dimension Criteria. a) At least two (2) feet of clearance shall be provided from the centerline of each adjacent bicycle rack. b) An access aisle of at least five (5) feet shall be provided in each bicycle parking facility. c) Bicycle racks shall be at least twenty-four (24) inches from a wall to which they are parallel and thirty (30) inches from a wall which they are perpendicular. 2. Number of Required Bicycle Parking Spaces. For commercial uses, one bicycle parking space shall be provided for every twenty (20) automobile parking spaces. A minimum of two (2) parking spaces is required. R. Drainage/Water Management Plan: Stormwater management plans shall comply with Rule C: Stormwater Management Plans of the Rice Creek Watershed District Rules. (amended 04/27/15) S. Environmental Conservation and Sustainability. The City encourages the use of green materials and environmentally friendly construction and site design such as the use of pervious surfaces, green rooftops, energy efficient materials, LEED standards, and other green building techniques. Background The City’s Investment Policy was revised in 2007 and then again in 2009. In 2009, representatives from various financial organizations commented on the policy. The only major change made at that time was limiting the investment duration to ten years. Discussion The City must at a minimum be in accordance with Minnesota Statutes Chapter 118A and amendments thereto. The City’s Investment Policy is slightly more restrictive than the statute. Safety of principal is the foremost objective while yield is of lower importance so the City won’t see the high returns generated by high risk investments. It should be noted that 11. Exemption is an important provision to have in the policy. This protects the City from having to sell an investment early and potentially lose money if it falls below the guidelines of this policy. Just because an investment drops in value, doesn’t mean you can’t carry it to maturity. One area that may inhibit a future investment opportunity is 7. Concentration of Risk. The City has been holding steady at about $10 million in total investments. To be on the safe side, this means that no more than $450,000 can be invested in any one security. This concentration of risk provision is a good provision to have in the policy and it isn’t affecting our investment opportunities at the current time because most of our purchases have been Certificates of Deposits which are limited to $250,000. Purpose It is the policy of the City to invest public funds in a manner which maximizes security and provides maximum return in preserving and protecting funds while meeting the daily cash flow demands and conforming to all applicable federal, state and/or local statutes government the investment of public funds. 2. Standards of Care A. Prudence – The standard of prudence to be used shall be the “prudent person” standard and shall be applied in the context of managing an overall portfolio. Individuals acting in accordance with written procedures and this investment policy and exercising due diligence shall be relieved of personal responsibility for an individual security’s credit risk or market price changes, provided deviations from expectations are reported in a timely fashion and the liquidity and the sale of securities are carried our in accordance with the terms of this policy. The “prudent person” standard states that, “Investments shall be made with judgment and care, under circumstances then prevailing, which persons of prudence, discretion and intelligence exercise in the management of their own affairs, not for speculation, but for investment, considering the probable safety of their capital as well as the probable income to be derived.” B. Ethics and Conflicts of Interest – Employees involved in the investment process shall refrain from personal business activity that could conflict with the proper execution and management of the investment program, or that could impair their ability to make impartial decisions. Employees shall disclose any material interests in financial institutions with which they conduct business. They shall further disclose any person financial/investment positions that could be related to the performance of the investment portfolio. Employees shall refrain from undertaking personal investment transactions with the same individual with whom business is conducted on behalf of the City. C. Delegation of Authority – Authority to manage the investment portfolio is granted to the City’s Finance Director/Treasurer, who shall act in accordance with 2 established procedures and internal controls for the operation of the investment portfolio consistent with this investment policy. No person may engage in an investment transaction except as provided under the terms of this policy. The Finance Director shall be responsible for all transactions undertaken and shall establish a system of control. Each transaction will be acknowledged in writing by one of the following officials within 48 hours: 1) City Administrator 2) Mayor or Acting Mayor 3. Investment Objectives The City will invest idle funds based on the following objectives: A. Safety – The primary objective is the preservation of capital and the safeguarding of public funds by mitigating credit and interest rate risk. a. Credit Risk – The City will minimize credit risk, which is the risk of loss due to the failure of the security issuer or backer. b. Interest Rate Risk – The City will minimize interest rate risk, which is the risk that the market value of securities in the portfolio will fall due to changes in the market interest rates. B. Term – Investments will be scheduled to cover all expenditures. Investments will not be longer than one year for cash flow and all excess funds may be invested for longer than one year, with a maximum term of ten years. C. Liquidity – The portfolio shall remain liquid to meet all operating requirements that may be reasonably anticipated. This is accomplished by structuring the portfolio so that securities mature concurrent with cash needs to meet anticipated demands. Furthermore, since all possible cash demands cannot be anticipated, the portfolio should consist of securities with active secondary or resale markets. Alternatively, a portion of the portfolio may be placed in money market mutual funds or government investment pools which offer same-day liquidity for short-term funds. D. Yield – The investment portfolio shall be designed with the objective of attaining a market rate of return throughout budgetary and economic cycles, taking into account the investment risk constraints and liquidity needs. The benchmark to be used will be the 4M Plus Fund annual rate of return. Return on investment is of secondary importance compared to the safety and liquidity objectives. The core of investments are limited to relatively low risk securities in anticipation of earning a fair return relative to the risk being assumed. Securities shall generally be held until maturity. 3 4. Pooling of Funds The City will consolidate (pool) cash and reserves balances from all funds, except for those legally restricted by statutes, to maximize investment earnings and to increase efficiencies with regard to investment pricing, safekeeping and administration. 5. Authorized Investments The City of Arden Hills will invest only in securities authorized by Minnesota Statute §118A.04 and §118A.05. 1. Governmental bonds, notes, bills, mortgages and other securities, which are direct obligations or are guaranteed or insured issues of the United States, its agencies, its instrumentalities, or organizations created by an act of Congress, excluding mortgage-backed securities defined as “high risk” (as defined below) or in certificates of deposit secured by letters of credit issued by Federal Home Loan Banks. High risk mortgage-backed securities are as follows: A) interest – only or principal – only mortgage-backed securities, B) any mortgage derivative security that: a) has an expected average life greater than ten years, b) has an expected average life that: i) will extend by more than four years as the result of an immediate and sustained parallel shift in the yield curve of plus 300 basis points: or ii) will shorten by more than six years as the result of an immediate and sustained parallel shift in the yield curve of minus 300 basis points: or c) will have an estimated change in price of more than 17 percent as the result of an immediate and sustained parallel shift in the yield curve of plus or minus 300 basis points. 2. Obligations of the United States or its agencies under a repurchase agreement if the margin agreement under the repurchase agreement is 101 percent and with any of the following institutions: A) a bank qualified as depository of public funds, B) any national or state bank in the United States which is a member of the Federal Reserve System and whose combined capital and surplus equals or exceeds $10,000,000, C) a primary reporting dealer in the United States government securities to the Federal Reserve Bank of New York, D) a securities broker/dealer having its principal executive office in Minnesota, licensed pursuant to Minnesota Statues Chapter 80A, or an affiliate of it, regulated by the Securities and Exchange Commission and maintaining a combined capital and surplus of $40,000,000 or more, exclusive of subordinated debt. 4 3. State and local government obligation as follows: A) an obligation of the State of Minnesota or any of its municipalities: a) that have taxing power, and b) are rated “A” or better by a national bond rating service. B) obligation of other state and local governments: a) that have taxing power, and b) are rated “A” or better by a national bond rating service. C) general obligations of the Minnesota Housing Finance Agency that are rated “A” or better by a national bond rating service. D) general obligations of housing finance agencies of other states, provided: a) they include a moral obligation of the state, and b) they are rated “A” or better by a national bond rating service, E) general revenue obligation of any agency or authority of the State of Minnesota other than those found in C or D above (Housing Finance Agency) that are rated “AA” or better by a national bond rating service. 4. Certificates of deposit at state and federally chartered banks and savings and loan associations. All investments made under this subsection shall be limited to the amount of Federal Deposit Insurance Corporation or the manner set forth in Minnesota statute §118A.05. The certificate of deposit should be in the form of a discounted security maturing in the amount not to exceed the insurance coverage or in the amount so that at any time the face amount together with any accrued interest does not exceed the insurance coverage. 5. Banker’s Acceptances of United States Corporation or their Canadian subsidiaries that are rated “A1” by Moody’s Investors Service and/or P1 by Standard and Poor’s Corporation and matures in 270 days or less. Banker’s Acceptances can only be purchased if the yield is greater than the United States Treasury obligations or Federal Agency issues. 6. Commercial Paper issued by United States corporations or their Canadian subsidiaries that are rated “A1” by Moody’s Investors Service and/or “P1” by Standard and Poor’s Corporation and matures in 270 days or less. 7. Money Market Funds consisting of United States Treasury Obligations and/or Federal Agency Issues and/or re-purchase agreements as long as it is rated AAA by two rating agencies (FDIC, SIPC, FSLC, or NRSRO). 8. The City will not purchase securities that are considered highly sensitive. A highly sensitive investment is a debt instrument with contract terms that make the investment’s fair value highly sensitive to interest rate changes. Examples include range notes and index amortizing notes, variable-rate investments with coupon multipliers, and coupons that vary inversely with a benchmark index. 9. The City will not purchase securities that could expose the City to foreign currency risk. 10. The City will not purchase derivatives. 5 6. Safekeeping and Custody Investments may be held in safekeeping with: 1. Any Federal Reserve Bank, 2. Any bank authorized under the laws of the United States or any state to exercise corporate trust powers, including but not limited to the bank from which the investment is purchased, 3. A primary reporting dealer in the United States government securities to the Federal Reserve Bank of New York, or 4. A securities broker-dealer having its principal executive office in Minnesota, Licensed pursuant to Minnesota Statutes Chapter 80A, or an affiliate of it, regulated by the securities and exchange commission and maintaining a combined capital and surplus of $40,000,000 or more, exclusive of subordinated debt. The City’s ownership of all securities in which the fund is invested should be evidenced by written acknowledgments identifying the securities by: A. The names of issuers, B. The maturity dates, C. The interest rates, D. Any serial numbers or cusips. The City shall not invest in securities that are both uninsured and not registered in the name of the City and are held by either: A. The counterparty or B. The counterparty’s trust department or agent, but not in the name of the City. The Finance Director shall establish a system of internal controls, which shall be reviewed with the independent auditor of the City. The controls shall be designed to prevent the loss of public funds arising from fraud, employee error, and misrepresentation by third parties, unanticipated changes in financial markets, or imprudent actions by employees and officers of the City. 7. Concentration of Credit Risk No more than 5% of the overall portfolio may be invested in the securities of a single issuer, except for the securities of the U.S. Government, or a maximum of 25% with any individual counter party in an external investment pool. 8. Investment Depositories and Authorized Dealers Annually, the City Council will designate by resolution depositories, broker dealers and financial institutions authorized to provide banking and investment services to the City. Prior to completing an initial transaction each year with a broker/dealer, the City shall provide to the 6 broker/dealer a copy of the City’s Investment Policy and a copy of the Notification to Broker and Certification by Broker as required by Minnesota Statutes Chapter 80A. The broker/dealer must sign and return the Notification to Broker and Certification by Broker and agree to handle the City’s account in accordance with the City’s Investment Policy and provide a copy of their broker’s insurance coverage for their firm. 9. Investment Earnings Interest earnings will be credited to the source of the invested funds at the end of each month based on the average daily cash balances during the month. Market value adjustments and interest accruals will be allocated at the end of the fiscal year based on the average cash balances during the fiscal year. 10. Reporting and Review A listing of the City’s investment portfolio shall be included in the financial report to the City Council at the end of each fiscal quarter. The list should include date of purchase and maturity, type of investment, firm invested at, yield, interest rate, and comparison to the benchmark set forth in this policy. 11. Exemption Any investment currently held that does not meet the guidelines of this policy shall be exempted from the requirement of this policy. Upon maturity, if funds are re-invested the new securities must conform to this policy. 12. Review and Approval The investment policy shall be formally approved and adopted by resolution the City Council and any future changes to the policy must be approved by the City Council. Approval by the City Council the 31 Day of August, 2009. 118A.04 INVESTMENTS. Subdivision 1.What may be invested.Any public funds, not presently needed for other purposes or restricted for other purposes, may be invested in the manner and subject to the conditions provided for in this section. Subd. 2.United States securities.Public funds may be invested in governmental bonds, notes, bills, mortgages(excludinghigh-riskmortgage-backedsecurities),andother securities,whicharedirectobligations or are guaranteed or insured issues of the United States, its agencies, its instrumentalities, or organizations created by an act of Congress. Subd. 3.State and local securities.Funds may be invested in the following: (1)anysecuritywhichisageneralobligationofanystateorlocalgovernmentwithtaxingpowerswhich is rated "A" or better by a national bond rating service; (2) any security which is a revenue obligation of any state or local government which is rated "AA" or better by a national bond rating service; (3) a general obligation of the Minnesota housing finance agency which is a moral obligation of the state of Minnesota and is rated "A" or better by a national bond rating agency; and (4) any security which is an obligation of a school district with an original maturity not exceeding 13 months and (i) rated in the highest category by a national bond rating service or (ii) enrolled in the credit enhancement program pursuant to section 126C.55. Subd. 4.Commercial papers.Funds may be invested in commercial paper issued by United States corporations or their Canadian subsidiaries that is rated in the highest quality category by at least two nationally recognized rating agencies and matures in 270 days or less. Subd. 5.Time deposits.Funds may be invested in time deposits that are fully insured by the Federal Deposit Insurance Corporation or bankers acceptances of United States banks. Subd. 6.High-risk mortgage-backed securities.For the purposes of this section and section 118A.05, "high-risk mortgage-backed securities" are: (1) interest-only or principal-only mortgage-backed securities; and (2) any mortgage derivative security that: (i) has an expected average life greater than ten years; (ii) has an expected average life that: (A) will extend by more than four years as the result of an immediate and sustained parallel shift in the yield curve of plus 300 basis points; or (B) will shorten by more than six years as the result of an immediate and sustained parallel shift in the yield curve of minus 300 basis points; or (iii) will have an estimated change in price of more than 17 percent as the result of an immediate and sustained parallel shift in the yield curve of plus or minus 300 basis points. All Rights Reserved. 118A.04MINNESOTA STATUTES 20171 Subd. 7.Temporarygeneralobligationbonds.Fundsmaybeinvestedingeneralobligationtemporary bonds of the same government entity issued under section 429.091, subdivision 7, 469.178, subdivision 5, or 475.61, subdivision 6. Subd. 8.Debt service funds.Funds held in a debt service fund may be used to purchase any obligation, whether general or special, of an issue which is payable from the fund, at such price, which may include a premium, as shall be agreed to by the holder, or may be used to redeem any obligation of such an issue prior to maturity in accordance with its terms. The securities representing any such investment may be sold by the government entity at any time, but the money so received remains part of the fund until used for the purpose for which the fund was created. Any obligation held in a debt service fund from which it is payable maybecanceledatanytimeunlessotherwiseprovidedinaresolutionorotherinstrumentsecuringobligations payable from the fund. Subd. 9.Broker; statement and receipt.(a) For the purpose of this section and section 118A.05, the term "broker" means a broker-dealer, broker, or agent of a government entity, who transfers, purchases, sells, or obtains securities for, or on behalf of, a government entity. (b) Prior to completing an initial transaction with a broker, a government entity shall provide annually to the broker a written statement of investment restrictions which shall include a provision that all future investmentsaretobemadeinaccordancewithMinnesotaStatutesgoverningtheinvestmentofpublicfunds. (c) A broker must acknowledge annually receipt of the statement of investment restrictions in writing and agree to handle the government entity's account in accordance with these restrictions. A government entity may not enter into a transaction with a broker until the broker has provided this written agreement to the government entity. (d) The state auditor shall prepare uniform notification forms which shall be used by the government entities and the brokers to meet the requirements of this subdivision. Subdivision 1.May enter into.In addition to other authority granted in sections 118A.01 to 118A.06, government entities may enter into contracts and agreements as follows. Subd.2.Repurchase agreements.Repurchase agreements consisting of collateral allowable in section 118A.04,and reverse repurchase agreements may be entered into with any of the following entities: (1)a financial institution qualified as a "depository"of public funds of the government entity; (2)any other financial institution which is a member of the Federal Reserve System and whose combined capital and surplus equals or exceeds $10,000,000; (3)a primary reporting dealer in United States government securities to the Federal Reserve Bank of New York;or (4)a securities broker-dealer licensed pursuant to chapter 80A,or an affiliate of it,regulated by the Securities and Exchange Commission and maintaining a combined capital and surplus of $40,000,000 or more,exclusive of subordinated debt. Reverse agreements may only be entered into for a period of 90 days or less and only to meet short-term cash flow needs.In no event may reverse repurchase agreements be entered into for the purpose of generating cash for investments,except as stated in subdivision 3. Subd.3.Securities lending agreements.Securities lending agreements,including custody agreements, may be entered into with a financial institution meeting the qualifications of subdivision 2,clause (1)or (2), and having an office located in Minnesota.Securities lending transactions may be entered into with entities meeting the qualifications of subdivision 2 and the collateral for such transactions shall be restricted to the securities described in this section and section 118A.04. Subd.4.Minnesota joint powers investment trust.Government entities may enter into agreements or contracts for: (1)shares of a Minnesota joint powers investment trust whose investments are restricted to securities described in this section,section 118A.04,and section 118A.07,subdivision 7; (2)units of a short-term investment fund established and administered pursuant to regulation 9 of the Office of the Comptroller of the Currency,in which investments are restricted to securities described in this section and section 118A.04; (3)shares of an investment company which is registered under the Federal Investment Company Act of 1940 and which holds itself out as a money market fund meeting the conditions of rule 2a-7 of the Securities and Exchange Commission and is rated in one of the two highest rating categories for money market funds by at least one nationally recognized statistical rating organization;or (4)shares of an investment company which is registered under the Federal Investment Company Act of 1940,and whose shares are registered under the Federal Securities Act of 1933,as long as the investment company's fund receives the highest credit rating and is rated in one of the two highest risk rating categories by at least one nationally recognized statistical rating organization and is invested in financial instruments with a final maturity no longer than 13 months. Major drivers of budget changes from 2018 to 2019:• Legislature change - county portion of PERA rates increases 1.5%. The increase will be phased in over a 2-year period (2019 & 2020). Omnibus Retirement Bill (SF2620).• Deputy Union contract issued a 3% wage increase in both 2019 & 2020. The project includes widening US 10, providing a slip ramp from the US 10 service road to Highway 96, providing both right in and right out access from the service road to US 10, and construction of 20-foot high noise walls. Included in the project is the replacement of the City’s 12” trunk watermain in the project area. Recently MnDOT contacted City staff to inquire about turning back the US 10 frontage road between Prior Avenue (Big 10 Tavern) and Highway 96 (Attachment A). The City currently maintains this roadway although it is located within MnDOT right of way. With the proposed highway improvement project, the frontage road will be repaved due to the installation of City watermain. In addition to the Big 10 Tavern, there are six residential homes with access onto the frontage road. Staff will provide information regarding the possibility of adding this roadway to the City’s State Aid system. Future actions regarding the US 10 Highway Improvement Project that the City will be asked to consider are a cooperative agreement with MnDOT for the construction of the trunk watermain and a submittal to the Minnesota Public facilities Authority regarding the budget appropriation for the watermain. RECITALS: WHEREAS, sewer and water line laterals between the mainlines and the connection on residential private property are owned by individual residential property owners residing in the City ("Residential Property Owner").- and WHEREAS, City desires to offer Residential Property Owners the opportunity, but not the obligation, to purchase a service line warranty and other similar products set forth in Exhibit A or as otherwise agreed in writing from time -to -time by the Parties (each, a "Product" and collectively, the "Products"); and WHEREAS, Company, a subsidiary of HomeServe USA Corp., is the administrator of the National League of Cities Service Line Warranty Program and has agreed to make the Products available to Residential Property Owners subject to the terms and conditions contained herein, and NOW, THEREFORE, in consideration of the foregoing recitals, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, and with the intent to be legally bound hereby, the Parties agree as follows: 1. Purpose. City hereby grants to Company the right to offer and market the Products to Residential Property Owners subject to the terms and conditions herein. 2. Grant of License. City hereby grants to Company a non-exclusive license ("License") to use City's name and logo on letterhead, bills and marketing materials to be sent to Residential Property Owners from time to time, and to be used in advertising (including on the Company's website), all at Company's sole cost and expense and subject to City's prior review and approval, which will not be unreasonably conditioned, delayed, or withheld. In the event that City extends a similar license to a direct competitor of Company during the Term and any Renewal Term of this Agreement. Company may immediately terminate this Agreement. 3. Term. The term of this Agreement ("Term") shall be for three (3) years from the Effective Date. The Agreement will automatically renew for additional one (1) year terms ("Renewal Term") unless one of the Parties gives the other written notice at least ninety (90) days prior to end of the Term or of a Renewal Term that the Party does not intend to renew this Agreement. In the event that Company is in material breach of this Agreement, the City may terminate this Agreement thirty (30) days after giving written notice to Company of such breach, if said breach is not cured during said thirty (30) day period. Company will be permitted to complete any marketing initiative initiated or planned prior to termination of this Agreement after which time, neither Party will have any further obligations to the other and this Agreement will terminate. 4. Indemnification. Company hereby agrees to protect, indemnify, and hold the City, its elected officials, officers, employees and agents (collectively or individually, "Indemnitee") harmless from and against any and all third party claims, damages, losses, expenses, suits, actions, decrees, judgments, awards, reasonable attorneys' fees and court costs (individually or collectively, "Claim"), which an Indemnitee may suffer or which may be sought against or are recovered or obtainable from an Indemnitee, as a result of or arising out of any breach of this Agreement by the Company, or any negligent or fraudulent act or omission of the Company or its officers, employees, contractors, subcontractors, or agents in the performance of services under the Products; provided that the applicable Indemnitee notifies Company of any such Claim within a time that does not prejudice the ability of Company to defend against such Claim. Any Indemnitee hereunder may participate in its, his, or her own defense, but will be responsible for all costs incurred, including reasonable attorneys' fees, in connection with such participation in such defense. 5. Notice. This Agreement may be executed in counterparts, all such counterparts will constitute the same contract and the signature of any Party to any counterpart will be deemed a signature to, and may be appended to, any other counterpart. Executed copies hereof may be delivered by facsimile or e-mail and upon receipt will be deemed originals and binding upon the Parties hereto, regardless of whether originals are delivered thereafter. Nothing expressed or implied in this Agreement is intended, or should be construed, to confer upon or give any person or entity not a party to this agreement any third- party beneficiary rights, interests, or remedies under or by reason of any term, provision, condition, undertaking, warranty, representation, or agreement contained in this Agreement. 9. Choice of Law/Attorney Fees. The governing law shall be the laws of the State of Minnesota. In the event that at any time during the Term or any Renewal Term either Party institutes any action or proceeding against the other relating to the provisions of this Agreement or any default hereunder, then the unsuccessful Party shall be responsible for the reasonable expenses of such action including reasonable attorney's fees, incurred therein by the successful Party. 10. Background The City currently has a vacancy for a Public Workers Maintenance Worker, and staff would like to authorize to post at the next Council meeting. This will have no budget impact as the position is already budgeted. Additionally, Public Works Staff has requested to hire an additional seasonal to assist with current operations as there is currently one vacancy in the department, and one person will be on FMLA for a short period of time. This position is projected through the end of the year, but could change depending on staffing needs. If this were budgeted the City Administrator has the authority to post and hire, however, this position would be an additional seasonal beyond what was previously approved. This would have an approximate $5,000 budget impact on the overall budget.
